How exactly can I move Ex5.5 to new hardware pls?

Hello,

I need to move a single-server Exchange 5.5 organisation to new
hardware. It's running on NT4 now and I can move it to a VM or
physical server running NT4 or W2K.

We use Backup Exec to do a full offline backup, so I'm tempted to just
restore a backup it to an NT4 VM.

Two questions:
1. is the restore above a good idea?
2. if I prepare W2K and install a fresh copy of Ex5.5, exactly which
directories do I need to empty from the fresh installation and copy
over from the old installation please? I've seen plenty of
instructions but each mentioning different directories to copy...

BTW we also have Exchange 2003 installed but in a different Exchange
Organisation with no links to the 5.5 installation.

Thanks but I'd prefer a way to move it to new hardware without
installing another server into the site. I can the server off-line for
a few hours, that's not the problem.
