migrate from SBS 03 to standard 08

I have a scenario that I hope some can guide me on. I have a SBS 03 box and
we are about to possibly go to server 08 standard. We do not use the company
web function of SBS but do have a web based proposal software using IIS.
What is the safest migration technique for this. Moving exchange and also is
there a way to transfer the IIS websites or do I have to rebuild.
