Reference our meeting on 17th May, 2008 on above mentioned subject,
 
On behalf of Mayflower CHS Ltd., pls. find the MgC resolution.

 

1.                  The original agreement with M/s Hiranandani Properties is found no longer valid due to change of ownership/ transfer of legal rights and interest in the Mayflower as Society is now formed.

2.                  On conceptual basis, Managing Committee (MgC) agree to extend all other terms and condition as per earlier agreement dtd. 8th May' 2006 between M/s Hiranandani Properties and M/s Vodafone except the License Fee for next three years period .

3.                  As License Fee, for Year 2008-2009, starting 1st May 2008, we request for Rs. 5, 00,000/- with 10% increment for each subsequent year.

 

Please provide your acceptance and arrange for a legal agreement on an early basis.

Dear Mr. Swaminathan,
 
We have reviewed your proposal and is simply not at all accepted to us.
 
As the Society is now the absolute owner of such space and hence the agreement is no longer valid.
 
We request you to once again approach your management with the license terms proposed by Mayflower CHS Ltd.
 
If our terms are not agreed by your Management then pls. join us for an immediate meeting with Managing committee to decide upon further course of action on Urgent basis as delay may have impact upon the smooth operation of your sites.

After our meeting, in anticipation of your mail, I have taken up the matter with our Management.

 

We are of the opinion that since this being a transfer of right case, upon formation and registration of agmnt, although further negotiation is applicable upon expiry of the current valid agreement, your request for increase in rentals can still be considered upon your insistence, on flwg lines :-

 

  1. That a rent of Rs.4.25 Lacs p.a. is acceptable to us instead of Rs.3.60 Lacs currently being offered.  Escalation, viz. 10% existing shall be applicable, as given in attached agmnt.
  2. The Agreement shall be valid for 5 years, till 31st Apr. 2013.
  3. Provision for Static DG is mandatory, which can be either by installation a separate DG for our purpose or tapping scty;s captive DG.

 

Pl revert with your acceptance to enable us to proceed further in the matter, as payment is already overdue w.e.f. 1st May '08.

 

We look forward to our continued business relations with the Society, in the years to come.
