Motion to monetize emails to the LNC:

Move to direct staff to implement a mechanism requiring a $5.00 donation to the LNC in order to send emails consisting of 150 characters to the entire LNC and allowing for additional $10.00 donations for 100 extra characters as desired having the max level donation being the upper limit.

Purpose: increase revenue and, hopefully, increase the quality of emails received.

Mr Chair,

This is not a formal notice for an item of business, but I would request that the committee allow sufficient time to discuss the merits of the noticed resolutions, particularly in light of the concerns in the attached report, along with other items that may be raised by others. The concerns that are documented in the report, which I provided to Region 1 chairs on June 14, 2025, are a presentation of the points that I had prepared in advance of the June 9 meeting, but did not have the opportunity to raise for thorough discussion.

I am providing this report today, in advance of the notice deadline, to request that members of the SIC, or others knowledgeable about the investigation, prepare to answer question regarding the key points raised within. I would further request, that given the substantial length of the report upon which these resolutions are based, that discussion not be cut short without addressing the important concerns raised.

It seems to me that nearly a weeks time to review this report is sufficient time before the meeting. Any member here who can't review between now and the Sunday meeting, who offers up excuses as to why they haven't had time to review in debate, is acting in bad faith or is being dilatory to avoid a vote. I say this not out of malice, but to ensure all members take the time to review it now... before the meeting... so it cannot be used as a crutch or an excuse.

As the meeting was called by the Chair for a limited purpose (including his objection ruling and the notice for the resolutions and motions to be considered) and outside of a Special Monthly Meeting, as has been done with other calls for a limited meeting, a notice thread was not started. There was an email sent on Monday that gave the information, OneNote, Zoom registration link, and sharable link to the post on LP.org. That email was sent to the entire LNC and the public list on Monday August 18^th at approximately 5:30 pm ET and with the subject: LNC Special Meeting on August 24th 2025

I would also note that at the beginning of your email you specifically state in the first line, "This is not a formal notice for an item of business..." Therefore, it would be disregarded as notice. You requested the committee allow "sufficient time" to consider the noticed resolutions and motions in light of your attached response to the SIC report. You also requested members of the SIC and others knowledgeable on the investigation be prepared to answer questions.

We are currently paying around $3,000 a month for the software suite, and with limited adoption and no use by staff, we need to discuss either 1) increasing adoption by affiliates or 2) ending the program, or 3) pick it back up for mid-terms or when we are financially healthy to do so.

Mr. Secretary,

I know a few topics have come up in the time since it was discussed, but I wish to return to my prior request regarding the resolutions on the agenda.

First of all, thank you for the reply and the summary of the meeting details.

You may be correct in the characterization of the earlier email. I was primarily trying to have this matter brought before the body to be discussed and wanted to ensure that there was adequate time to prepare feedback on the questions raised.

I wish to emphasize the request for such information to be available to be presented in discussion, and that board members not be cut off from debate before such issues can be addressed. I believe the questions raised in the report are necessary to be answered in some form as part of the diligence of this body before we consider whether or not to adopt resolutions based upon the merits of the SIC report that are brought into question by the facts in my region report.

I will close with a Point of Parliamentary Inquiry for the Chair:

Does it satisfy the notice requirement for an original main motion to be considered in a special meeting of the LNC if an LNC Member sends the complete language of the motion to the entire LNC by e-mail at least five (5) days prior to the session?

In this case, the special meeting is only on the specific topics mentioned when the meeting was called. Unlike our regularly scheduled special meetings, which we allow open to add items to prior to the deadline and then "lock-in" the agenda.

In this case, you are more than welcomed to distribute your points to the board and cite them during discussion, as long as it is germane to the topic.

I move the following:

Whereas, LNC Policy Manual §1.07.4(B)(I & II) prohibits LNC members from (I) disparaging the LNC or the Party and (II) engaging in ad hominem or otherwise indecorous attacks against fellow board members in any official or public communication;

Whereas, Mr. Martin made public posts on the social media platform X stating “This is straight up FRAUD” with the Special Investigatory Committee report adopted by the LNC, and posted a comparison of the LNC’s actions to “deep state” tactics, in direct violation of these provisions;

Whereas, Mr. Martin has since sent written communications to the full Board alleging “collusion,” “fraud,” “deception,” and “morally wrong” conduct by LNC members, further violating §1.07.4(B) and breaching his fiduciary duty of loyalty under the D.C. Nonprofit Corporation Act;

Whereas, Mr. Martin was given a written directive by the Chair to remove the offending posts, submit any supporting evidence internally, and refrain from further public commentary pending review, and has refused to comply;

Whereas, the April 28, 2025 Strategists Inc. Operational Review explicitly identified public disparagement, board infighting, and lack of professional restraint as damaging to morale, fundraising, and organizational stability, and recommended “restraint to create a cohesive brand that is not marred by sniping of opinions in forums outside the board room”;

Resolved, that the Libertarian National Committee hereby censures Mr. Martin for conduct in violation of the LNC Policy Manual, breach of fiduciary duty, and refusal to comply with the Chair’s directive;

Resolved, that this censure serves as a formal and public expression of the Board’s disapproval of Mr. Martin’s conduct, and that further similar conduct may result in the initiation of an investigative committee to consider additional disciplinary action.

Great one sir — excellent retaliation. I’m sure the libertarians on the ground will be laughing about the irony for years to come.

I’m sure they will also be wondering why my mildly stated criticisms against obvious misconduct from the leadership of the LNC is so much more important than LPNH… but I suspect they won’t be wondering for long.

It is not a violation of the PM to address misconduct concerns, not to tell the truth.

But I know you've got a coverup to keep, so I shouldn't take it personally.

Aloha,

Please accept my sincere apology, Mr. Weir — my phrasing was unfortunate and ill considered. To be clear, I didn’t mean to attack your affiliate; I merely wished to put the situation in its proper perspective.

I am frustrated that my advocacy for coming appeals and other legitimate exercise of my duties of office (I.e.: pointing out the truth about misleading reports attended by conflicts of interest and potential gross negligence / malfeasance), earns a swift disciplinary response from the leadership, rather than any serious attempt to address the underlying issues.

This censure against me is about controlling my opinions and my speech, not for the good of the LNC, but for the conflicted interests of individuals who are afraid of what I might say. I think this proposed censure is a brazen attempt to pressure me into retracting legitimate criticisms and sincere ethical concerns.

Contrasting this with the controversy about LPNH would have only been appropriate if I had made more careful distinctions — clarifying that there is greater public interest in “doing something” about LPNH than there is about my personal X account with less than a thousand followers. Still, if I had considered my reply more carefully, I probably would not have brought it up at all.

My only defense is a profound lack of coffee. That and I was holding myself back (with great effort) from exposing more director and attorney misconduct — but this is still no excuse for my careless comment.

Honestly speaking, I do have some concerns that I would love to discuss with you at your convenience, but I did not mean to bring them up here.

I hope you can forgive me for that.

Hello Members of the LNC,

I am providing notice to introduce the following motion at the LNC Special Meeting on Sept 7 2025.

Whereas, on August 10, 2025, a motion was considered to amend the policy manual to include, among other changes, the language that “Communication with LNC Counsel: Only the LNC Chair and ExD shall have free and direct contact with LNC Counsel. LNC members wishing to make an inquiry of counsel shall seek permission from the LNC Chair. The LNC Chair shall serve as the intermediary between the inquiring LNC member and LNC counsel at their discretion”;

Whereas, the above reference Policy Manual amendment was not adopted;

Whereas, LNC Policy Manual §1.06.2 states that “The LNC shall be kept advised of the progress and goals of the suit. Any settlement or dismissal of the entire lawsuit recommended by the Executive Committee must be approved by the LNC.”

Whereas, Mr. Nekhaila has attempted to overstep his authority as Chair to interfere with inquiries to counsel by members investigating possible negligence and/or misconduct by Mr. Nekhaila;

Whereas, Mr. Nekhaila disclosed information containing sensitive legal strategy to an individual not authorized to receive it, and at odds with the LNC’s interests;

Whereas, Mr. Nekhaila has violated the fiduciary duty section of the policy manual, withheld legal updates from LNC members, and acted contrary to the best interests of the LNC;

Whereas, Mr. Nekhaila has denied LNC members access to General Counsel, placing the LNC potentially at risk of additional legal action;

Whereas, Mr. Nekhaila has acted outside of his authority in a manner that is unbecoming of a professional organization;

Whereas, in performing the above-mentioned acts, Mr. Nekhaila has violated his duty of care and created an irreconcilable conflict of interest;

POLICY MANUAL 1.07 FIDUCIARY DUTY VIOLATIONS

Whereas, Policy Manual Section C Subsection I Duty of Obedience states, “LNC members have a duty to act in a manner that carries out the LNC’s mission and purpose”;

Whereas, Policy Manual Section C Subsection II Duty of Care states, “LNC members have a duty to act in a manner that carries out the LNC’s mission and purpose”;

Whereas, Policy Manual section C Subsection IV Duty of Good Faith states that LNC members must act “with honesty”;

Be it resolved that Mr. Nekhaila is censured for the above actions.

I just wanted to reiterate the following vote was postponed from last meeting to the upcoming meeting:

I would also like to provide notice of a vote to set the date for the 2028 convention.

Dates under consideration are February 18-21, 2028 and May 26-29, 2028.

For additional notice, some state chairs have requested that the committee also consider March and April dates during its deliberations. I await the recomendation from the Convention Oversight Committee for us to consider.
