Some concern from my friend

I tried to send it by mail several time, but looks does not work. So
I post it here.

Some suggestion from my friends about our organization. Here I pasted
her mail. Hope this can help us to make our decision.

One thing I've decided is that New York is a bad place to incorporate
a nonprofit! It is probably the hardest state to get a certificate of
incorporation approved in, because of all these agency approvals they
make you get. I now advise my clients to all incorporate in Delaware.

If you want to incorporate in NY though, and just get the Education
Department's consent, as requested, the instructions for doing so are
available here:

Read the page, and then click on the link at the bottom that says "How
to I apply for consent?"

Because they rejected your application at this time, you are not yet
officially incorporated, and I would suggest that you consider
broadening your purposes. Right now, you have this specific idea in
mind of what you want to do, but one day you may decide you want to do
something slightly different -- like donate directly to a school in
China or the U.S., rather than administer scholarships yourself. Or
even support a poor Chinese student to attend a school in another
country besides China or the U.S.? In the future, if you do things
that are outside the written purposes, NY makes it difficult for you
to use the funds you already have on any new purposes you may add
later, so better to make them broad at the beginning. I can help you
work on that language if you'd like.
