Regularization of additional director

In a public company one director was appointed as AD in the year 2010 didnt get regularise in the subsequent AGM.

Now company wants to regulrise him in the AGM of 2015...can it do it

Please guide members...also mention the relevant section under CS act 2013 if answer is yes.
