AGREEMENT ON FEES & SHARES LCGC

Dear  Team members,

A few outstanding matters we need to sit down and discuss together.  I better list them as follows so that I will not forget:

1.   Fee Payment from Kettha  - you all would have seen my emails to Green Tech regarding the TOR and Fees for 2 projects - the Training and the Cyberjaya Low Carbon City.  I have had to reduce the fees to meet up with the budget by Kettha, thus reducing the job scopes.  You would have seen the email from them setting that payment will be made only to the leaders of the team - namely:  Training team: Kak Yong;   Cyberjaya work:  Noraida   and later the Pilot Projects : Norliza.   The team leaders will also be held responsible for anything that happens with the project.

Anyway, we all need to sign an agreement on the following:

a.  How much of the individual fee will go to LCGC and how much to be paid to the individual involved?  

b.  The team leaders have to sign an undertaking that any fees paid into the leader's account will be immediately paid out to the individual involved and also to LCGC within 4 days of receiving it  (this is to allow clearance of the cheques, weekends, etc). 

2.  Dr. Faridah  - I have been informed by Dr. Faridah that her name cannot appear as a shareholder/ director.  Being from academia, she is not allowed to be a director of a company nor be involved in businesses.  Hence, I propose that one of us hold her shares as a nominee.  A separate agreement to be signed by both parties will be made.  I will need a shareholders' agreement on this.

3.  MIP - The last MIP council became a heated one when the matter of the LCGC was tabled as info.   There were some members who did not attend previous council meetings that endorsed us 4 ladies forming the company, opposing the whole concept.  To cut the story short, it was proposed that MIP be given some shares in the company.  Do, I need to know how much shares in % that you will agree to.  I stated during the meeting, only 10% which was deemed too little !!

So, I need feedback on this.

Dear Kak Yong and All,

I shall be away on the 2nd March and do not mind if the meeting proceeds without me though I am aware of Aida's concern but with majority being able to attend, it is only fair that the meeting proceed. 

On MIP and LCGC Sdn Bhd, I believe MIP wants us to write officially to them and make the offer as what has been informed to me by the President. I am also willing to allow MIP to have the 20% stake that has been assigned to me. I believe MIP should have a sizable amount of share if the Company is considered to be an MIP's company undertaking LCCAF as what is wanted by KeTTHA. I can then take the most minimum share in the Company or can just be an appointed Director if still required.

MIP then need to appoint someone to hold the share and also someone that will be responsible for matters related to LCCAF on behalf of the Institute. That person can be an appointed Director by MIP and can rotate every two years if need be. Such proposal must be mentioned in the offer we are making to them.

On matters of the following:-

If there is time to amend the contract, maybe for Pilot Project, Sinha/Mazrina can be name as the person responsible in the contract.

One other pressing matter that needs a discussion is the manpower needed to undertake the works involved. I believe the task given to us is not a small one anymore and it is beyond our individual capability to undertake this and this will jeopardize the quality of works which is expected of us. I do suggest a more serious discussion on this as currently I am not certain if the part time hours put on the project is sufficient. On my part especially I am not certain if I can do the work alone without my office back up as I am also very tied with work in the office and very committed to my clients. Thus I suggest a more serious discussion on this matter.

Its 5.50am, Monday 20th February and I will be leaving for the airport on my way to Wellington within a few short hours.

Thanks for your response, Liza.  Just as Aida said, we ALL ought to be present for this meeting.  Hence, can YOU suggest a date?  Even if its a Saturday morning pon, it will be OK or we can also meet for dinner.  Anytime that suits you.

I also reckon that we ought to have the meeting asap.  This is because payment on Cyberjaya will be received first and then we have to decide on how much goes into LCGC coffers.  This is related to your highlighting of the heavy work burden and staffing.  We will need the funding to get more staff into LCGC.

So, hope you can name a date/ day/ time when you will be in town.

Regarding the meeting on Wednesday 7th., at MIP office, can we all meet at 6.30pm?  This is because the WCSC 4 meeting which will be from 4.30pm, would usually end early about 6.30pm.  We can then meet for the LCGC meeting?

Sinha & Dr. Faridah - would this be a convenient time for you?

I will get Ana to order food for dinner, which we can have as we discuss.  Then we can go back home earlier.
