Hi, Folks,

Eventhough our contribution agreements are almost identical to the ASF ones, you will still need to submit new ones to apache.  Please start this task now, as it is an easy one to tick off.

I'm referring to new code after we are in incubation.  I'm sure you are right that the old clas (granted to jclouds, inc.) will cover the existing code.

FYI, this is only relevant for people who haven't already submitted CLAs to the ASF - i.e., those who aren't already committers somewhere at Apache.

afaik, all new apache committers need to have an ICLA in file. http://www.apache.org/dev/new-committers-guide.html

If this is the case then it follows that CCLAs should be on file for all corporate entities that have a claim on contributions from those committers.  Can someone on this list either:
1) Get a listing from ASF for all existing CCLAs and we can determine any gaps in those needed.
or
2) Find a contact who can look at what we have and do this due diligence for us?

A CLA is a protection for ASF against those who may own a copyright for a contributed piece of intellectual property.  ICLAs are useless for contributions in which the individual owns now rights to the works being contributed (though, they can be nice to have).

I'll update our tracking ticket since this is now an open issue.

So I don't want to necessarily dive into solving all IP issues up front, - that really does belong on an ASF-hosted list, so that it is preserved for posterity and I will speak from experience rather than from some Incubator position. 
ICLAs may be acceptable for a committer who is working for a $dayjob, sans a CCLA, provided the individual has authority to contribute their work. My $dayjob (Citrix) has no CCLA on file at the ASF, but we have probably 20-30 committers on various projects, and probably double that number of contributors. 

This really is an issue for the individual contributor to live up to their responsibility under the ICLA to only contribute code for which they have authority and license to contribute. (see section 4 of the ICLA) http://www.apache.org/licenses/icla.txt

Right. Whether a CCLA is needed or not is not something that we (mentors, ASF in general) can answer, since it depends on the contract you have with your employer, where you live etc. However, the legal-...@apache.org archives [1] have some discussion (e.g. [2]), and anyone can email the (public) list [3] with questions about the CCLA and other legal matters.

Yep, I've spoken at length with my legal dept and I definitely need one.  I'm guessing there is already one on file and I just need to be added to it.

Most people working for companies in the US outside of CA probably need one in my experience.  CA has some favorable laws, but its best to make sure.
