Problem with intel 740 and DirectX 7.0a

I have problems running 3d games with Windows 98 and DirectX7.0a. They
all hang at an unspecified amount of time.

* NFS runs properly with renderer mode to software (my cpu is a 233Mhz,
that's not acceptable) and a real playable resolution of 320 X 200).
* The problem it is extensive to any game that uses DirectX (and I have
got some strange behaviour -> hangs with ony some file managing, but
who is the bug: Windows98 or DirectX in that case ?).
* PC Configuration:
- Pentium II 233 CPU
None of the components have been altered nor overclocked (I'm reading
an FCC statement ?)
The heating it is not a problem. No matter the time elapsed since I
have started the CPU. The computer it is running with no covers and in
a really cold place (I can asure that).
- ASUS P2L97 ( No SCSI, No Onboard LAN )
I have not overwritted the BIOS (it is a thing that I like to avoid if
possible)

- 96 MB RAM
I have tried setting the Graphics aperture to 64MB and 128MB (64 MB it
is mainly recommended no matter what amount of RAM do you have)
I had an ISA 8 Bits card (I have enabled and disabled the 15 - 16 MB
memory hole, same result).

- 8 GB HD IBM DHEA ...
I had read of problems with the ASUS motherboard of this HD, but It
works fine under WINDOWS 98, NT and LINUX. Before it was working on a
Pentium 133 computer.

- Pioneer DVD104S CD-ROM
In some FAQs I have just read you'd better change configuration
(remove commented line MSCDEX for AUTOEXEC.BAT) on that, it is
something i have not done, do you really think it is meaningful?
(sorry, YES, there is nothing meaningful in all this)

- Generic Intel 740.
(no Video In), 8 MB, Model String 'Intel 740 Video Accelerator', with
Bios 2.30 and Driver PV4.0) -> I do not know who is the manufacturer of
the card (the more approaching SN of manufacturers listed in intel site
refer to intel generic drivers). There's anywhere else where to test
for a manufacturer ?
Also tried to update the BIOS to 2.39, but the flash utility downloaded
from Intel, does not recognize my Intel740. Only it is useful for some
models I think, in that case, where could I get the proper flashing
BIOS utility ?
It is set to IRQ 9 (the same as USB, is that a problem, (Windows
reports no conflicts) ? I have disabled the controllers both from
Windows 98 and the bios, same result)

- Sound Blaster 16 / Sound Blaster 16 VIBRA ( have tried both of them)
I am not sure if it is really working well or not. Windows normal
playing is good. But the DX diags will give an error (Getting Extra
Info -> General Failure). In that case I can not even run the Sound
Test. But sometimes (I have not found any cause) it works, and I can
pass the test OK (I get the message 'no harware buffers found, using
Software ...' but the status is OK. Games will hang independent of that.
It is set to IRQ 10.

- HSP PC-Tel 33.6 Modem.
(It has Virtual Wave Device: I have tried uninstalling it, but the
modem was hard to install and I would prefer to keep it if possible) In
the current tests, I have removed it, but nothing changes
Normally Set to IRQ 5 (COM1 to 4, COM2 to 3);

- WinBond 840 ethernet adapter (I am not encouraged to install it
yet, but NETWORKING is contemplated).

What I have not tried yet:
MOTHERBOARD -> Flash the BIOS.
AGP DRIVERS;
IDE/ATAPI;
I have been able to play non DirectX games (OutCast) with no problems.
But the more annoying is that the hang is produced sometimes in the
menues but sometimes I CAN PLAY,(only for a little while, ja!!!!).
