CIE SPECIAL GENERAL MEETING

Tuesday May 6^th 2014

 

Dear Members,

                              An application by the CIE for Heritage Lottery Funding of a CIE Heritage Project  with the primary aim of creating public and professional awareness of the heritage of the CIE through cataloguing, scanning and providing open web access of CIE Proceedings going back to its formation in 1864, requires that we adopt the following two new rules in the CIE Constitution.

 

1. The income and assets of the Institution can be used only for the furtherance of the objects of the Institution and that no part of its income or property shall be paid or transferred directly by way of bonus or other distribution to the members of the Institution. Provided that nothing herein shall prevent the payment in good faith, of reasonable and proper remuneration to any officer or servant of the Institution, or to any Member of the Institution, in return for any services actually rendered or to be rendered to the Institution or for repayment of out of pocket authorised expenses.

2. If on the winding up or dissolution of the Institution, no assets shall be paid or distributed amongst the Members but shall be given to some charitable or not-for-profit organisation having similar objects.

 

In accordance with the Rules of the CIE, 21 days’ notice is hereby given for the calling of a short Special General Meeting of the Members of the CIE to be held on Tuesday May 6^th at 7.30 pm following the Founders Lecture at 6.00pm at the Centuria Building, Teesside University in order to ratify the above clauses which have the full support of the Members of the CIE Council.

 

Friends are most welcome at the Founders Lecture, prior to the SGM, for which details will be circulated in a newsletter later this week.
