Dear members,

Please be advised that ICLA's AGM scheduled for Friday, November 15th, 2013 is put on hold until further notice. Pursuant to the discussions of the board members of ICLA and the executive members of ILPO, a survey regarding a merger of the two organizations will be sent out to all members by the end of this week. ICLA's AGM will be rescheduled based on the outcome of the said survery.

I personally don't think we should do that. We still need to report on the Gala and its finances and a number of people have RSVP'd already. It won't look good to lose the consistency and as you suggested we never know what comes out of these merger talks.

Sure if all we are doing is reporting on the finances and the Gala – however, I’d like to request that a decision regarding what to do with the money we raised be deferred for now.

I think the MOU approach is actually very good one for two reasons: (1) it demonstrates seriousness when you go to your members for an up-down vote; and (2) it sets down parameters between the parties that are known and predictable.

My one concern is the tactic of putting the MOU before their members as part of the survey. It allows their members to begin changing it line by line. There are too many chefs in the kitchen in that way. Negotiating the MOU should be up to the executive who have been charged to represent their members not the members themselves.

Instead Behrouz jan, what you may want to do is tell Bobby to consider going to their members with a referendum question which gives them the mandate to negotiate an MOU with ILPO on the major terms: (1) new name (2) non-profit org (3) organization based on the OCA (4) mandate of the organization.

From a corporate governance perspective, there is nothing wrong with getting a mandate to negotiate an MOU based on known terms (ie. What you agreed on at your dinner on Wed.)

Yup. The decision about what we do with the money has not been put on the agenda as we are waiting on the results of the merger talks, so it won't be discussed.

Agreed. This was communicated to Bobby and at this stage he is suggesting that we attached the executed MOU just to provide all with a bit of a background on the facts and not to have anyone comment on it.

The executed MOU will be conditional upon the approval of majority by way of the survey.
