Dear All,
This group is currently invite-only and currently has around 60 members. A suggestion has been made that we should open it up to all-comers, so that even non-contributors can see it (I once read a stat that around 98% of a social network is readers rather than writers) and so that it can take on a life of its own.

Please let me know in the next week if you have any objections to this, or concerns about it.

Yes, it would be good for messages here to appear in Google search results, as it may help answer questions.

I think a discussion for opening the governing body of HyperCat too.

We have had a bit of feedback recently that hypercat does not look nutural. It's has been suggested as it is a Ltd company, it needs to have a wider horizontal representation from the market.

Thoughts?

Hypercat Ltd has3 directors Pilgrim Beart, Justin Anderson and Merlin, Lord Erroll. As I understand it, its “Mem & Arts” give it the mission to drive Hypercat forward in a neutral and unencumbered way and I have no evidence that this is not the case.

 

That said, the current structure could allow the perception that a small number of people are “in control” and this misguided perception could be an unintended barrier to further uptake of Hypercat.

 

So my view is that we should consider how to widen representation either within Hypercat Ltd or by some other mechanism. Within Hypercat Ltd, we could perhaps add a number of company members (who need not be directors but to whom the directors are in a sense accountable). Outside of Hypercat Ltd, we could perhaps create a Hypercat User Group or similar

 

Just my 2p’s worth –would be very interested to hear what others think?

 

On a related note, is this email list open yet?

It should be noted that the company itself is a non for distribution organisation that is incorporated in the UK and thus Directors are subject to UK law to behave according to Mem & Arts. We're in the process of building an advisory board of large international technology corps that I hope will play a corporate membership role to provide additional accountability and balance. It's important that like the standard itself though we don't encumber the movement with too much overhead or heavy weight compliance.  A HyperCat User Group could certainly be set up and could be fully open and independent - good idea. And of course, all of the HyperCat Standard work is assigned to the Bristish Standards Institute and subject to their governance and process.

Sound good – though I would say we should aim to involve SMEs as well as larger organisations.

 

Fully agree that we don’t want the thing to get hog-tied by too much overhead but I think that is much less of a risk now that we have version 3.0: essentially, it’s up and running and BSI will take it forward. All I want to do is ensure that we avoid incorrect misperceptions of a narrow closed shop as regards governance.

HyperCat Ltd. Has my full support, has and is doing a superb job of raising the flag and putting UK firmly on the global IOT map.  It's generating significant leverage for companies working with it. The main reason I was keen to be actively involved is because it lays a foundation for better tools for autonomous systems integration.

Having said that, I was surprised that it was set up as a limited company and not a CIC - Community Interest Company under Memorandum as an open foundation, there are many good models out there. A CIC can operate exactly the same way as a Ltd. Co but it cannot trade its assets.
I have been considering the most beneficial governance structure for SWIM Foundation and this is the model I am planning to adopt.

Before establishing Hypercat as the simple not-for-distribution
limited entity we took legal advice from a specialist lawyer and I am
fully confident it will allow us to do all we need it to with the
articles we have - including adding members as suggested in the
thread.

FYI With respect to a CIC which you mention, we did review this
approach and FYI here are some important considerations:

A ‘CIC’ (community interest company) is a special type of limited
liability company that is subject to company law in general and also
to the CIC specific company law and regulations.

CICs are only able to be used for ‘community benefit’ purposes that
comply with the CIC law and regulatory regime. (So only some companies
meet the legal criteria to allow them to be [or ‘convert’ to become]
CICs.)

CICs cannot be used as charities (that’s specifcally banned by the CIC law).

CICs must exist for approved community benefit purposes that meet the
relvant legal conditions (and approved as such by the CIC Regulator
when they are established). They can’t exist just to
facilitate/further/provide their members’ own purposes and benefits
(in the way that, say, a trade association or professional body does).

They are overseen by their own regulator (the CIC Regulator) for
compliance with relevant legal, regulatory and transparency/public
reporting requirements for CICs as well as by Companies House (for the
usual public display of their company data, filed documents etc).

CICs are subject to and must obey the full panoply of company law -
and the CIC law and regulation on top of that.

Worth pointing out, too, that CICs have no tax exemptions or reliefs
(they are subject to the normal company taxation and VAT regimes).

A useful analysis but no surprises, Amanda Brock had recommended CIC and I have been in contact with the regulator.
It seems there is no additional burden due to CIC status but strong advantage in terms of the asset lock and reporting transparency.
I haven't initiated any action yet, and will give it further thought.

Since there have been no objections, I have now opened-up this group, so (I think!) the settings are now:

1) The group and its content are publically visible
2) Anyone can join (non-moderated)
3) You have to join before you can post or see the list of members (but you can't see their email addresses).

I hope that these settings are the right balance between allowing free access and rejecting spam - but we'll see!
I have also updated the logo in the welcome banner.
