Aiping,

No one knew this before the Election. On June 22, I asked Lijie Cheng directly about her member status. She said she registered her daughter SAT Math class. Because of her recent repetitive violation of the Bylaw, I started looking into the matter.

I remember you have repeat stressed that the voting members elected us to do the job and to follow the bylaw. I am counting on your promise to the school voting members on this matter to follow the bylaw. With your support, I feel we can keep our promise at the election to ensure our school follow rules and regulations.

Appreciate your opinion. The Chair of Advisory Committee, the Chair of Election Committee and the Chair of Board had a meeting last night to discuss this matter. We have agreed to have the Board meeting and invite the two committees that were appointed by the Board. Please respect our decision and join the official Board meeting tomorrow night. I sincerely respect your opinion and deeply appreciate your openness.

I have respected Advisory Committee Chair and Election Committee Chair's desires and take the responsibility to call the Board Meeting. If we are fair, good people, with school's best interests in our heart, respect the difference, seek the common goal and see the big picture, I believe the Board is the right entity with the authority to resolve this challenging issue. Both Advisory and Election Committees are appointed and approved by the Board. They have no authority to grant any exceptions. I believe the three chairs have made the right decision, followed the correct chain of command and are doing the right thing for our school. Please remember - no one is above the Board. No one is above the bylaw.

The Board has the authority to invite other committees that are related to this matter. I have sent email far in advance to invite them. I trust the Board can use our wisdom to solve this issue without going to all school members. Please work with me to eliminate any further damages to our schools. I always trust you will.

Please have jianping provide a printout of the school registration record of her daughter's registration date, and check clearing date and provide them to the board.

We all know lijie registered  her daughter the year before for ap Chinese, not 2013-2014. Her family and her daughter's name is not in this year's official school directory. Both aiping and shengli's kids are in ap Chinese class, they should know better. Lijie's daughters name is not in ap Chinese class roster. Jianping might provided you 2012-2013 school year information.

On July 4, 2014, the school registration records showed her daughter withdrawed the hsk class and registered no class. Therefore, she is not a voting member with registered students.

Could you clarify? Thanks.

Lijie Cheng 's daughter and my son were in the same ap Chinese class for the year of 2012-2013. The registration records I sent to everyone yesterday was a direct pull of the official registration records.

If you want to start a formal investigation, I think it is a great idea. Lijie as a candidate who was also in the election committee should know the rules and can provide information as well. Will be in touch shortly. Thanks.

Dear All,

Although three Board members didn't join the meeting without advance notice, we still had a productive meeting and discussed a lot of things for our school. Based on bylaw 5.06.1 Directors have the obligation to attend Board meetings. Proper notification is required if a Director is not able to attend the meeting. If a Board Director is absent from two consecutive meetings without appropriate reasons, his or her resignation shall be deemed to have been tendered and accepted.  

Thanks to Board Members Shengli Liu, Zhong Chen, and other school leaders Yang Dai, Liang Cao and Julian Shen to sacrifice 3 hours their time to discuss school issues. They are the true leaders who sincere cared about our school. Special thanks go to Julian who let us use his line and join the call to make sure the line works.

We agreed to give the other three Board members another chance for meeting. I will call another meeting shortly. Hopefully, we can have a quorum to discuss & resolve instead of submitting the issue to whole members of our school. It is not good people are willing to make speculation, guess or gossip behind others' back instead of meeting face to face and discuss the issues at hand and on the table. This must change.

Our school still face a potential legal dispute from GNY about the "HXNY trademark" next year. We need to make sure any legal loophole is fixed and bylaw is followed in our school. The parents elected the Board members to protect our school. We the leaders should read the bylaw and do our job. 我们要改变以遵守BYLAW为耻，不遵守为荣的观念。

GNY can very easily get a copy of our school directory for 2013-2014. If they find our school's Board member or Board Chair is not a voting member of our school, we can easily lose the battle before it starts. Based on our past experience, it is something GNY will use it to against us when needed. This is the issue I sincerely hope the Board and school leaders take it seriously and jointly correct before next school year and have a legal Board Meeting minutes for it. Without it, the next school's Board can not function legally and legitimately. 

Bylaw 4.02.1 Members who are no longer adult students of the School or parents or guardians of minors who are registered students of school shall automatically be terminated as Voting Members.

1.   According to the Bylaw, 5.05.2,  the meeting you called on Friday needs at least 1/3 (3) board members to request to have the meeting. I didn't see the 3rd board member requested. Therefore call for the meeting is not following Bylaw, the meeting is invalid. Consequently no one is obliged to attend the meeting. 

      Bylaw 5.05.1  The Board shall meet at least twice a semester, and Board meetings shall be presided over by the Chairperson of the Board of Directors. 

      Bylaw 5.05.2  Special Board meetings may be called at the request of at least one‑third of its members or at the request of the Principal if he/she 

      deems it necessary.     

2.   According to Bylaw 5.01.2, a vacant board position should be filled, after Chaochi Tien resigned, the board didn't make public announcement about this vacant position nor to fill it which is not following the Bylaw and caused the deadlock now. The Board is not above the Bylaw. Should the Board be "以不遵守BYLAW为耻"?

     Bylaw 5.01.2 A Director of the Board may resign at any time upon advance written notice to the Board. In case of a vacancy on the Board, 

     the Board members shall fill the vacancy as per Article 5.02. (Please see below about Article 5.02 ***)

5.02 Election of Directors

  5.02.1 The Board of Directors shall be elected at a Meeting of Members held at least one week before the last day of classes of the School Year.

  5.02.2 The Chairperson of the Board of Directors shall announce the openings on the Board at least seven (7) weeks prior to the election date.

  5.02.3 In order to be eligible for election to the Board of Directors, a candidate must be a current Voting Member in good standing with a registered student in the School. The candidate must submit a written petition to the Election Committee with the signatures of two percent (2%) of the Voting Members stating which position the candidate intends to seek within two (2) weeks of the announcement of the open positions. The candidate should disclose his position as a director of any other organization(s). The sitting Principal and Chairperson of the Parents Council may run for a term on the Board of Directors in the following School Year provided they announce their intent to run immediately after the Board of Directors announces the open positions.

  5.02.4 The Election Committee will prepare and publish the list of candidates for the open Director positions three (3) weeks after the announcement of the open positions.

  5.02.5 The Directors are elected by Voting Members. The election shall be conducted by written ballot in person or by proxy under the supervision of the Election Committee. The upper limit to the number of votes that a voting member may cast is half of Board director positions to be filled (round up). This upper limit will be five (5) for nine (9) Board open positions, four (4) for eight (8) or seven (7) Board open positions, three (3) for six (6) or five (5) Board open positions, two (2) for four (4) or three (3) Board open positions, and one (1) for two (2) or one (1) Board open position(s). One vote may be cast for one candidate. Ballots containing more votes than the upper limit are invalid and will be discarded. All votes shall be immediately counted and the candidates with the highest number of votes shall be elected. In the event of a tie there will be a runoff as determined by the Election Committee.

  5.02.6 The candidates with the highest number of votes who are not elected shall be retained in reserve and may be called to fill Board vacancies as prescribed in these Bylaws. If there are no reserves or the candidates in reserve decline to serve, the position shall remain open until the next election.

  5.02.7 The newly elected Directors shall take office on the first day of the new School Year.

  5.02.8 Each elected Director shall hold office for a term of two years. Each Director may serve no more than two (2) terms or four (4) years, whichever number is shorter. Any Director with more than two (2) and no more than three (3) years of service on the Board may only serve one additional one (1) year term. The terms of the Directors shall be staggered so that not all Directors’ terms expire simultaneously. Four (4) years is the maximum lifetime service as a Board of Director.

I am so glad you are reading the bylaw. To answer your questions:

1) 1/3 Board members are 2 Board members. We have 6 Board Members currently. Zhong Chen and I called it. Shengli also called me wanting to have the meeting. I'll be sure to have her send an email.  It is 3 Board members' desire.
