Each year, our teachers rely on student assistants to help in and outside of the classrooms. The school office also requires assistance to help with copying and distribution of class materials.

Hi Chen Zhong,

Thank you very much for your email and for your concern about our school.

I will set up a special Board meeting on Friday, 7/11 at 9PM to discuss the below issue.

Election Committee members and Advisory Committee members will be invited to this meeting. Lijie can also attend the meeting to clarify her member status. If she can provide information to the Board and Election committee before the meeting, it will be the most helpful.

Meanwhile, please let me know if you have any questions or concerns.

Thanks,
Melissa

Dear Board Members,

Due to some scheduling conflict from a few people, this meeting will be rescheduled to 9PM, next Friday, 7/18.

Advisory Committee Members are invited. Election Committee members don't need to join.

Agenda of the meeting:

1) Approve 2014-2015 Administration Team roster
2) Lijie Cheng's Membership Status and its impact to our school.
3) If Bylaw is not followed and exception is made, what will be the implication to future Board members and elections?

Dr. Jianran Li is invited to give us a detailed explanation of the bylaw.

If you have any questions or concerns, please let me know.

Thanks,
Melissa

Keling,

That's great. Thanks for letting us know. Previously you have expressed your job was completed and you didn't want to have any meeting anymore, so I thought you didn't want to be bothered. I am glad you changed your mind. It is unnecessary to have a separate meeting because all Board members are Election Committee members. Please join our Friday meeting. I invited all Advisory Committee members as well because they are our past leaders with lots of experiences and integrity. We should all discuss and reach agreement.

Thanks,
Melissa

Dear Melissa,

Thanks for your invitation, election committee will join the meeting, I thought my job is done, but unfortunately we still have some unclear questions regarding Lijie's status to elect as the board member. This needs to be review and make a final decision.

Election committee only have one agenda for this meeting, review Lijie's status, vote for any unclear issues regarding this year's election.

Can I have 9:00PM to 9:40PM to discuss Lijie's status, then election committee can leave if they want.

Again, my sincere thanks to everyone for the suggestion and support for this year's election.

Please send us the conference call number.

Thanks

Keiling,

Thank you very much for your flexibility.

I hope everyone join the meeting with the goal to discuss, agree and resolve issues instead of just using votes to solve critical issues. Otherwise, for the issues don't follow bylaw, we should have an all member voting. It will not be something the Election Committee or the Board can decide since the tuition paying members of the school are the highest legislative body of our school. Just want to remind everyone this critical point before you join the meeting.

Please bring facts about Lijie Cheng's status to the meeting, share with everyone the bylaw terms, its impact to our school and to future Board Members status/election. Have you checked Lijie's stauts? Could you send it to us? I sent an email to the Election Committee a month ago and have not gotten an answer?

Yes, we can discuss the Election Committee issue then the Board will move on to other topics.

Thanks,
Melissa

Keling,

I have been accused of my email is "junk emails" in the past. It is okay. As long as you can find it in your "junk" folder and still finds value and respond, I deeply appreciate. If we lead a school, we have to endure criticism from time to time. As long as we are doing the right thing for the school, it is understandable.

Thank you,
Melissa

Dear all,

I am very busy at work,  almost work day and night.  See these emails very late.  Personally I don't understand why this was raised after election.  I think Lijie has made outstanding contributions to our school and she is a valid and valuable member.  I dragged a section from bylaw and pasted in below.  Please take a look.

I agree with Keling and Aiping that we should ask advisory committee to join the meeting if we are going to discuss this since they know bylaws very well.

Best,

Ying

All,

Since Ying Zhou brought up the BYLAW, let's look at them together and tell us someone didn't pay tuition last year is a voting member or not:

4.01.1  Adult students (18 years old and over) and parents or guardians of minors who are registered students in good standing and attend the School as reflected in the records of the School’s Secretary qualify to serve as Voting Members of the School. Students must register for at least one class each semester and non-adult students must register for at least one language class each semester. The School may also have non-voting Honorary Members as provided in Section 4.01.2. Voting Members must pay tuition and follow the School Bylaws, Codes and Regulations.

4.01.2 The Board of Directors may, in its sole and exclusive discretion, grant a permanent Honorary Membership to any person who is not a Voting Member but who has made significant contributions to the School or whose membership in the School would confer an extraordinary benefit to the School. Anyone who has served on the Board of Directors or as Principal or Chairperson of the Parents Council, or has been teaching at the School for 10 years or over will become a lifetime Honorary Member after he/she ceases to be a Voting Member without Cause. All Honorary Members shall be non-voting Members.

4.04.8 The Election Committee, with a total of eleven  members, will consist of the non-Candidate Board of Director(s), Principal and PC Chairperson, provided they are not Board candidates and at least two (2) general Voting Members, who are not candidates for the Board. The Voting Members from the general membership shall fill all of the seats vacated by current Board members who choose to run for the Board or the Principal and/or Parents Council Chairperson if they are running for the Board.

5.02.3 In order to be eligible for election to the Board of Directors, a candidate must be a current Voting Member in good standing with a registered student in the School. The candidate must submit a written petition to the Election Committee with the signatures of two percent (2%) of the Voting Members stating which position the candidate intends to seek within two (2) weeks of the announcement of the open positions. The candidate should disclose his position as a director of any other organization(s). The sitting Principal and Chairperson of the Parents Council may run for a term on the Board of Directors in the following School Year provided they announce their intent to run immediately after the Board of Directors announces the open positions. "

5.06.2  A Board member shall not be able to vote on his/her own appointment or election candidacy. A Board member shall not be able to vote on any matter involving him/her personally or his/her immediate family member.

Let's not just look at one sentence. We are all intelligent people. Let's look at all of them.

Thanks,
Melissa

Best,

Ying

The last sentence states clearly that the " sitting Principal and Chairperson of the Parents Council may run for a term on the Board of the Directors . . . . ".
