HXNY Board Meeting Minutes – No. 06

Date and Time: Monday, June 13, 2011 from 09:00 PM to 11:00 PM
Location: tele-conference
Required Attendees:
1) Board Directors: Ying (Sue) Huang, Shengjing Li, Gary Guo, Minghui
Lei, Gutuan Zheng, Ching Zhou.
2) Board Director Peiwen Yang is not available on the meeting
schedule. Peiwen noticed Shengjing before the conference.
Meeting Agenda:
1) Appreciation Fund
2) Community Service Plaque
3) Bylaw amendment committee
4) Election of school leaders
5) Principal remove and school operation
Meeting Minutes:
1) All board members agreed to use board approved budget to distribute
appreciation fund to the Administration team and PTA team. The amount
for all positions shall be the same as that for the last school year.
This policy is subject to change upon discussions for next year.
2) As a traditional practice, Board will present a plaque for each
school leader to recognize his/her community service and leadership.
All board directors agreed to continue the practice for this school
year.
3) Reflecting on the member’s consensus for bylaw changes, all board
directors agreed that a Bylaw amendment committee should be
established as soon as possible. The committee shall review the
current bylaw, collect member’s feedbacks, and initiate bylaw changes
in consultation with bylaw experts. All HXNY members will be given
opportunities to review and approve any changes with the Bylaws.
4) Board has committed to fill the new Principal position by the end
of school year, so that member families can start the registration
process for the next school year. Board discussed options and issues
that may be raised with the election on the last day of the school.
Parents Dapeng Hu and Yawen Liu submitted their vision and working
plan to the school board for supporting their candidacy of Principal
and Parent Council Chair. They are also committed to do their best
helping the school to overcome this difficult time. Board shall review
their candidacy. If it’s approved, we can submit two pairs of
candidates for members to vote on June 19, 2011.
5) On June 11, the majority of board directors voted “Yes” to impeach
Alan Wang, the Principal of HXNY for spying and monitoring board
emails, blocking board communication with members and interfering
election of school leaders. No board member disputes the facts listed
in the impeachment notice, while some board members voices their
concerns about the procedural issues with the impeachment process.
Board directors agreed that Alan Wang should be given the opportunity
to defend himself regarding the accused activities. We shall discuss
with Alan Wang to see if legal actions are needed for the final
decision.

Dear HXNY members,
With your support, I strongly protest Li Shengjing's Notice. All
accusations against me are baseless and his behavior and decision are
totally illegal. In no good faith, this "major voting block" of the
board has twisted every piece of the Bylaws to abuse the power. They
were all ex-principals and ex-chairs of Parent Council and knew how
much
effort that the admin team and the PTA team have to put in to
organize
the graduation ceremony and the school end celebration. More than
600
pieces of award certificates that must be printed and signed and 40+
diplomas that need to be printed, signed and framed in addition to
other
logistics. But they do not care! They put their vengeance against
everyone who stands up to them above our students and the interests
of
this community. This has demonstrated their cruel character.
Enough is enough! This is the time for all members to stand up to
take
the power back from the malfunctioning board if we all want to have
an
amicable HXNY that continues to focus on our children and families.
More importantly, if we all want to open the school in September with
600+ students, the following must happen immediately:
1. A new board must be formed to restore the order and
credibility
so that the necessary Bylaws amendment can be carried out
immediately.
2. A temporary leadership team that can stand neutral to stop
the
vendetta must be established as soon as possible so that the
necessary
preparation for the new semester can start immediately.
3. Complete the first round of Bylaws amendment to ensure all
power will be returned to HXNY members and assure the fairness in
elections.
