*Again, the Commmodore failed to distribute an agenda before the
meeting. A paper agenda was distributed by somebody at the actual
meeting.

Meeting scheduled for 8:30pm commenced at 8:50pm. Duerst began with
Hoofer Board “rounds” of what each is doing. Notes not kept on this
because it is irrelevant to the meeting.

Duerst asked about meeting minutes of former meetings. Asked if
others had a chance to read them over email prior. Moves without
objections to move on to next matter.

Appeals

Duerst said he removed Anklebauer, Grinstead as Fleet Captains. And
said no mmore snow-kiting captain. Becca Stephenson can no longer due
it due to marriage. Rokusek resigned. Gave removed persons chance to
appeal at this meeting. Format is 10 minutes to speak; requiring
only BOC members may speak.

Grinstead asked why Duerst won’t let others speak. Hemke said he has
paid his membership and wants to be heard. Duerst said he doesn’t
want to be here until midnight.

Grinstead has elected to speak and challenge his removal.

Grinstead asked Matt what information he gathered to make decision to
keep some captains and remove others, and whom did he consult to make
that decision. Duerst asked him to put it as one question.

Who did you talk to? Duerst said he spoke to a lot of people; Who he
talked to? Talked to Jim Rogers, Brian Borkovec, couple other
persons, Barry, Kyle, keelboaters, anybody else who commented on J
Boats.

Grinsted had a long meeting with Bridget and Duerst on Thursday, with
Barry Rokusek. One thing we asked you was if you were intending to
keep us on. Duerst said yes according to Grinstead. He now wants to
know what changed. Duerst said going to meeting he fully intended to
remove.

Rokusek interjected to say you told me you would keep me on the
Board. After speaking with you Duerst said, maybe we could reach some
sort of compromise. Then decided to keep both of you. Learned more
information he suggests two captains withheld or did not tell him.

What did you explain Barry asked of Duerst? Grinstead says he is as
confused as rest of people here.

Duerst said Grinstead got angry; that something hadn’t happened.
Told him BOC hadn’t changed. This BOC had already voted on a matter
of Rhythm and Booms fiasco. Barry says what Duerst just said was not
consistent between Thursday and Sunday. In his eyes, Duerst
backpeddled. Duerst told Barry he has removed himself from Board;
redirected to Grinstead.

Duerst was getting load of conflicting information, a whole load of
it. Source no identified. Duerst choosing to leave names out of
reprimands. (Frye’s suspension?)

Rokusek concedes that Commodore has power to remove captains, then
claims backpeddling and is not supporting his fleet captains.
Rokusek’s reasons for resigning…not so much about…now sees politics
and how Paul Grinstead is being treated…and has few incidents with no
support at all. If you want leaders, you have to stand behind them.
I’ve seen Matt, in consultation with Chris Frye, completely
overruling..without acknowling captains.

Frye “emphatically disagrees” he says.

Barry says without our knowledge you are doing these things, amking it
difficult to be on your Board…to Duerst.

Duerst asked Paul if he wants board to “discuss” reinstating
Grinstead.

Duerst says it is all based on what has been happening since May.
Barry got no letter. Grinstead his letter was “pretty vague” and
wants to hear more.

Duerst proceded to read from the Fleet Captain job description. Feels
like Paul succeeded in Fall and Winter, and “issues” arose in
Summer.

J’s were secured for a month in the water. Reports were that you were
not letting other fixing boats. No mass list of repairs to make.
Denial of shop assistance. Duerst read from list he compiled he said
30 minutes ago. Claims Paul did not show up; did not provide
details; June 3 meeting; BOC meeting on May 20 to transer funds
among keelboat fleets. Read statement that keelboats are over
budget. Thing sthat were budgeted for had yet to be purchased…Duerst
said he does not know, since he has no knowledge, since he delegates
authority.

Duerst was curioius about why he was gone. Claims he emailed
Grinstead about absence. “I was not at BOC meeting; I was taking a
much needed break from Hoofers; …” Claim that nothing appears about
J Fleet activities in Forums. Claims Rhythm & Booms was a not
announced procedure wise for boat assignment. Speaking very fast.
Said Grinstead entertaint a CONFLICT OF INTEREST in the boat
lottery.

Duers says, continuing on, he thinks Grinstead simply burned himself
out. Doesn’t think Grinstead has not the current resources.

Grinstead said he is appealing and he wants to rebut all of Duersts
averments. Soembody moved to grant Grinstead 5 minutes only after
Duerst enjoyed more time.

Grinstead went on to speak about the contact procedures he made
available by email to those interested in repairing boats. Second
item; mandatory meeting on June 3, 2009. Grinstead apologized he was
unable to attend due to previous commitment socially. Third was Fleet
budgets being over budget. Grinstead contests the correctness of that
information. Rebate of $600 for Minnow mooring filed. $1,000 is
reduced to $400. Decoy Trailer? There were other questions about the
accounting properly of that expense as capital equipment.

Duers said Grinstead’s comparison to Commodore’s Cup overbudget status
is illegitimate.

Grinstead said he followed his budget carefully; Rokusek weighed in
saying the same; sayuing Ankelbauer was not communicating expense
overruns with them.

Next point was mandatory ; Grinstead said something Duerst claimed
was a LIE. “That’s a LIE….I don’t know why you said that at all.”

Announcements on the forums. Doesn’t believe he sent out
announcements during time stated.

One of the problems with R&B was nobody provided Grinstead any policy
information. People wait for me to make mmistakes and jump all over
me. I’m not trying to screw anybody over here; “I don’t feel burned
out; but I do feel beat up and lied to.” As to your comments on
professionalism, I think that is ridiculous.

Wicker said his authority as Board member overrides Duerst, so he can
tell Duerst to “shut the hell up.” Siedlecki spoke by invitation of
Wicker. Said Grinstead did a few things wrong; chose to tune out;
not respond; bad judgment; yet people are entitled to a second
chance. He has brought J Fleet to the point of higher standards.
Truth is probably between Duerst and Grinstead. Urges BOC to consider
what has been done in past by Grinstead; let’s say to Paul, that is
past, what shall we do now to get the Club on the right path again.
Would love a chance to redeem himself. An interim period to prove
himself over a short period of time.

Matt Hemek spoke. As a keelboat sailor he would vote for Paul
Grinstead. We as keelboat sailors support Paul because he is a hard-
working individual.

Jeffrey J. Pagac says he is a J Skipper. Keeps hearing Paul worked
hard over winter. Asking what did Paul do over winter. You are
unreachable for month. Claims he put 20 hours of his own time into
fixing J fleet. Is he really working on J boats? It is frustrating
when those are your favorite boats to sail.

JoAnn Long says she is part of group that put Minnow away. Duck fence
queen. Did everything she could. Overall she is looking for safety…a
big thing on her agenda. When she saw Minnow’s rotted bulkheads, and
was being called all sorts of names by others at HSC. Paul was using
his judgment with Barry. Shop Staff cleared the boat; great; take
it sailing! When JoAnn saw the damage that Shope Staff cleared as
Safe. Professional from Madison firm later declared boat unsafe.
Shop crew now, when they tell JoAnn this is safe, now she does not
trust their assessment…she trusts Grinstead and Rokusek. Mrs. Long
wants to be safe.

Cherniak started teaching J’s this year he says. Says May 3 meeting.
Talked about increasing workhours to improve boats; following month
not a single work party was posted! And acknowledges nobody else has
web permissions to post these parties, but would need to ask him to
post. Tried to contact Grinstead several times and finally contact
Andy Evenson. Cherniak is first to say Grinstead did a great amount
of work in winter, but was not around, causing instructors to be
unable to teach them.

Frye would like to note good work Grinstead did in winter. But then
you fell off face of Earth come lift-in. When you tied your budget to
the keelboats, you were not representing the Js. Claims sailors could
not identify Paul as Captain. Insulted by suggestion that he, Frye,
and others don’t care about safety. Is saying failure of persons on
lift-in; claims to have pinned rigging, and taped, suspecting tape
and rings were vandalized. When I hear you say things; thinks there
are far more serious concerns. R&B…Claims that he noted Mr. Watson
and others chuckled on suggestion of Grinstead had a Conflict of
Interest. Claims Grinstead had rated himself on KIII/Eclipse;
suggests Paul Schoenherrr or something really bad about giving out
ratings? Speaking fast…Asked Grinstead explicitly…told Frye he did
not want to talk to Frye….Claims Grinstead abandoned boat…claims left
at pier for 7 hours on a blue/red flag day. Does not find that
consistent

Wicker thinks this a sad day for Hoofers. Does anybody have
statistics of who actually volunteers here? Very low percentage.
Let’s sit back an dthink about how we are treating people who work
hard. Think about the situation Paul Grinstead stepped into. He
started with a pile of stuff; citing screw driven through the hull by
a former Captain, creating holes in the bottom. If secured, he was
doing his job! We replaced Knotty’s Mast. Raised voice. Frye put
mast on backwards? Frye challenges Wicker; saying “I openly call
bullshit on that.” Wicker responded thoughtfully and emotionally,
clearly concerned about safety.

Rokusek speaking again; asking Frye question about KIII. Discussion
of a turnbuckle. When KIII was run aground, fracturing hull joint,
etc. Many items posed to Frye about what was really wrong on the J
boats. Rokusek said failure of Frye to inquire about secure dboat
would have revealed safety problems. Says we have made best of
judgments, comparing Pagac and Frye’s failure to follow.

Rogers spoke, saying individuals are here due to commitment to the
program. Lots of statements about compliments.

Gapen wants to say; one thing; to address Frye; dedicated J Sailor
is an oxymoron; J sailors were never at winter work parties. Some
showed up for 3 hours only, then bolted. When will we discuss the
problems in this Club.

Watson spoke to the need to reform the Hoofer Sailing Club; and
Duerst’s exercise of executive authority is un-American.

Maniaci said it was her decision to leave a boat at pier Grinstead is
accused of. Spoke in support of Grinstead. Common refrain about
boundaries building in last two BOC’s; thinks it is coming to a head
now. Persons need to be respected for doing their jobs to their
abilities. Doesn’t agree with Duerst’s decision. Thinks it a
personality conflict. Thinks Grinstead work with keelboats and people
earns him a place on this board. Thinks it would be disingenuous to
remove Grinstead from his position.

Maniaci called quorum. And wants to define quorum. Of all positions
she says. And insists on a roll call.

Ballots were passed around the room, presumptively to voting members
only.

Duerst answered that Proxy voting is allowed.

Sloop fleet captain: Soemthing about votes informed two days ago
Duerst says?

Duerst went forward to read stuff; read assignment of proxy votes.

17 votes total Duerst says.

Watson asked the basis of proxy voting. Essentially Duerst and Frye
answered that HSC Constitution proscribes it in Hoofer Commodore
elections, but Hoofer Council Constitution otherwise permits it in
bylaws. Watson requested a reference copy of bylaws and constitution,
and somebody said it was on the website.

Show of hands to show quorum of voting members at Duerst’s call.

Duerst thinks fact of matter is Grinstead is not performing up to his
standards. Not saying he doesn’t care for boats. Duerst is
reiterating his arguments against Grinstead.

Cherniak moved to reinsteate Grinstead as J Fleet Captain; Maniaci
seconded. Sung read the motion. Maniaci has a point she wants to
raise. Proxy votes; is that the motion that was on the agenda?
Maniaci is asking if we can honor proxy votes. Duerst is claiming
Pfammeter sent him proxy notices prior to meeting. Maniaci says, we
are now only making the motion, so how can anybody proxy vote? Frye
and Duerst explain meaning of proxy vote to Maniaci. Maniaci asked
for a roll call.

Duerst called the roll call:

Justine: No; No (yes, he voted two ballots)

Two more absentions.

Pfammeter abstains Duerst says, who is not present.
Zach Vieth says Blake and somebody else not present vote one way or
another.

Rogers says he knows of nothing in Hoofer Constitution as a point of
order that two votes are allowed. Ds

Mooney mentioned in following Rogers’ point of order that;

Duerst now has said he will ignore the double votes as of this point
of order.

Duerst claimed motion didn’t pass. Then Duerst asked for a 5 minute

intermission. Other items discussed, though not exclusively, included
a 4 page document unsigned and later examined by the reporter that
painstakingly describes purported failings of Ms. Bridget Maniaci.
Reports from those who attended suggest Ms. Maniaci was removed from
at least one or more social duties which had been previously assigned
