to HKN/IEEE merger
The Board of Governors has not been following the HKN Constitution
with respect to how they intend to count the merger votes. Beta
Chapter is quite disappointed with the Board and is currently taking
measures to force them to follow the rules set forth in the
Constitution. Below is a summary of actions we have taken and are
currently taking.
On March 10, Beta Chapter requested the opinion of the Constitution
and Bylaws Committee, as pursuant to Article X, Section 5 of the HKN
Constitution with the intent of putting it up to a vote if the opinion
were that the merger required only a simple majority. We received
confirmation that the request was received, but we were never given
the opinion of the Constitution and Bylaws Committee.
On April 2, a lawyer acting on our behalf sent a letter
(cease_04-02-08.pdf) to Dr Irwin, current HKN President. As of April
14, we have not received a response.
Beta Chapter can only conclude that the Board is ignoring us in the
hopes that we will not pursue this issue further. However, Beta
Chapter is unwilling to accept such dismissals and is pursuing all
legal avenues to force the Board to follow the rules set forth in the
HKN Constitution. We urge that all chapters vote down the merger if
for no other reason than to force the Board to follow the rules.
