Section 175 of the Act permits circular resolutions for any business that can be transacted at a Board meeting, except for matters that must be decided at a Board meeting specifically (like approval of financial statements, Board’s report, diversification, borrowing above limits, etc. – see Section 179(3) & relevant rules).
Change of registered office within local limits is not in the restricted list under Section 179(3).
Therefore, it may be passed by circular resolution, provided all directors are circulated and majority approve.
