Shift of Registered office within local limits of city

Can a company change it registered office address within the local limits by passing circular resolution rather than conducting board meeting?

• Hi ,

• Section 175 of the Act permits circular resolutions for any business that can be transacted at a Board meeting, except for matters that must be decided at a Board meeting specifically (like approval of financial statements, Board’s report, diversification, borrowing above limits, etc. – see Section 179(3) & relevant rules).

• Change of registered office within local limits is not in the restricted list under Section 179(3).

• Therefore, it may be passed by circular resolution, provided all directors are circulated and majority approve.

POSH is applicable to all types of Companies; not dependent on incorporation status of Company but number of employees..if 10 employees then company to have internal committee with an external member and if below 10 then the POSH complaint will be filed with the district local committee.
