Multiple resort business under one single private limited company

  Hello Professionals..

One of my clients wants to incorporate a Private Limited Company with a unique name and operate multiple resorts under that company. How can I assist him with the incorporation and structuring process?

You have 3 options,

*Option A: Branches/Units – Simplest* 

1. *All resorts under same PAN/GST* if in same state. If different states, take separate GSTIN per state.

2. *Accounts*: Maintain cost-center wise P&L for each resort in same books.

3. *Licenses*: Liquor, FSSAI, Pollution, Fire NOC taken per resort location in company name.

4. *Pros*: Lowest compliance cost. Easy cash flow between resorts. 

5. *Cons*: All resorts liable if one resort faces litigation.

 

*Option B: Separate Divisions with Trade Names – Best for Branding* 

1. *Company Name*: “ABC Hospitality Pvt Ltd”

2. *Resort Names*: Register trademarks like “Sunset Valley by ABC”, “Himalayan Retreat by ABC”

3. *Legal*: All contracts/licenses in company name. Signage can show resort brand name.

4. *Pros*: Strong branding per resort, but single legal entity. Used by Taj, Oberoi.

 

*Option C: Wholly Owned Subsidiaries – Only if Risk is High* 

1. *Main Company* = Holding company.

2. *Each Resort* = Separate Pvt Ltd, 100% shares held by Main Co.

3. *Pros*: Ring-fences liability. One resort loss won’t hit others.

4. *Cons*: 5x compliance cost – ROC, GST, ITR for each company. Only if resorts have huge debt/litigation risk.

*3. Key Post-Incorporation Compliances for Resorts*

1. *GST*: Take ISD registration if HO pays for all resorts. Separate GSTIN per state mandatory.

2. *Trademark*: File TM Class 43 for each resort brand name immediately after incorporation.

3. *Licenses per resort*: Liquor license, FSSAI, Shop & Estt, Fire NOC, Pollution NOC, Local tourism dept registration.

4. *MSME*: Register as MSME if investment <₹50 Cr – helps in subsidy/loans.

 

*My Recommendation *

For 2-4 resorts starting out: *Go with Option B – Single Pvt Ltd + Multiple Trade Names/Units*.

*Reason*:

1. 80% cost saving vs subsidiaries.

2. Banks prefer 1 balance sheet with multiple revenue streams.

3. Can convert units to subsidiaries later if one resort scales big.

Pitfall to Avoid: Don’t write resort addresses in Registered Office clause. Keep RO at corporate office. Add resorts as “additional places of business” in Form INC-22 later. Else change of RO needs Board + SH approval every tim
