Hi all,
There is issue while filing form 3 for change in registered office as form 15 approved ,issue is    we observed that the MCA system does not permit filing of the earlier Supplementary LLP Agreement after a subsequent Supplementary LLP Agreement has already been filed. so we draft addendum to the earlier supplementary agreement now the question is how much stamp paper need in karnataka.

 A.    The Partners had executed a 4th Supplementary LLP Agreement dated 30th March 2026 ("Earlier 4th Supplementary LLP Agreement") to record, inter alia, the shifting of the registered office of the LLP from the State of West Bengal (Kolkata) to the State of Karnataka (Bengaluru).

 

B.    The said Supplementary LLP Agreement was filed with the Registrar of Companies in  Form 15 vide SRN M31059078 and  the statutory approval of Form 15 was received on June 29, 2026 for the inter-state shifting of the registered office. As a process, we understand that after the Form 15 filed for shifting the registered office is approved by ROC, the Company is required to submit the agreement in Form 3.

 

C.    During the pendency of such approval of Form 15, the Partners executed another Supplementary LLP Agreement dated 16th June, 2026 which was duly filed with the Registrar in Form 3.


This Addendum is executed solely for the purpose of recording the aforesaid amendments in the statutory records of the LLP in view of the practical limitation of the MCA filing system, which does not permit filing of an earlier 4th Supplementary LLP Agreement after a subsequent Supplementary LLP Agreement has been filed in Form 3.
