Strike Off LLP

[Krutii Krunal Vyas]

Hello,

LLP incorporated in 2019.  Did not start a business.  No forms filed. LLP agreement not prepared.  No bank account.   Now they want to close the LLP.

Can we go for strike off of the LLP without paying any penalty, as there was no business since inception, or can I apply for Dormant status for the LLP and after a few years go for strike off.

Please suggest.

Hello,

At present, before strike off, you have to file pending documents.

As per information, ICSI has represented to MCA for the strike of LLP who has not done any business activity without filing of pending annual documents. 

Other members may give their view.

Hi,

You can go for LLP form-24 without filing pending form 8 and form -11 (if the company not started any business activities till date ) also provide a clarification letter stating that the llp not required to file pending form -8 and form 11 if the llp not started any business from the date of incorporation and attach the the space provided for uploading the filed form 8 and form 11 in the e-form llp 24.
