Clarification Regarding ROC Jurisdiction – Maharashtra (Post Notification S.O. 4850(E))

With reference to MCA Notification No. S.O. 4850(E) dated 23.10.2025 (effective from 01.01.2026), ROC jurisdictions in Maharashtra have been restructured.

As per the notification:

• ROC Mumbai-I covers Mumbai & Mumbai Suburban.

• ROC Mumbai-II (Navi Mumbai) covers Thane district, among others.

In view of the above, kindly clarify whether shifting of Registered Office from Mumbai to Thane (including Bhiwandi) would be considered:

• A change within same ROC, or

• A change from one ROC to another requiring approval of the Regional Director under Section 12(5) of the Companies Act, 2013.

Your clarification will be highly appreciated for ensuring proper compliance.
