Hello everyone,
One of my clients wants to convert their business from a proprietorship firm to a partnership firm. The proprietorship was formed only a few months ago and is already registered under GST. Now, they wish to register the partnership firm under the Registrar of Firms (ROF).

Could someone please guide me on the procedure and checklist for this conversion?

checklist for conversion from proprietorship to to partnership business
To convert a sole proprietorship into a partnership, you must essentially 
establish a new partnership entity and transfer the existing business into it, as a proprietorship is not a separate legal entity from the owner.
1. Preparation & Legal Foundation
  • Draft a Partnership Deed: Create a legal document outlining the rights, duties, profit-sharing ratio, and roles of each partner.
  • Include a "Declaration of Transfer": The deed should explicitly state that the sole proprietorship business is being transferred to the partnership firm, including details like assets, liabilities, and the date of formation.
  • Notarization & Registration: Get the deed signed by all partners on stamp paper and notarized. While partnership registration with the Registrar of Firms is optional in many regions, it is highly recommended for legal standing in disputes.
2. Identity & Taxation Setup
  • Apply for a New PAN: Since the proprietorship used your personal PAN, the partnership requires its own PAN card.
  • Apply for TAN: Necessary if the firm will be deducting tax at source (TDS).
  • GST Registration:
    • Apply for a new GST registration in the name of the partnership using its new PAN.
    • Transfer ITC: File Form GST ITC-02 to transfer unutilized Input Tax Credit from the proprietorship to the partnership.
    • Cancel Old GST: Once the transition is complete, cancel the proprietorship's GST registration using Form GST REG-16.
3. Operational Transition
  • Open a Current Bank Account: Once you have the new PAN and registration, open a new current account for the partnership.
  • Transfer Assets & Liabilities: Document the transfer of all business assets (stock, equipment) and liabilities (loans, creditors) to the new firm at book value.
  • Update Licenses: Amend or re-apply for business-specific licenses (e.g., MSME/Udyam, FSSAI, Shops & Establishment) in the name of the partnership.
  • Notify Stakeholders: Inform vendors, clients, and employees about the change in legal structure to ensure continuity in contracts.
Documents Required Checklist
  • ID Proofs: Aadhaar, PAN, and Passport photos of all partners.
  • Business Address Proof: Electricity bill or rent agreement for the registered office.
  • NOC: No Objection Certificate from the property owner if the office is rented.
  • Financial Statement: A statement of assets and liabilities of the proprietorship, ideally certified by a CA.
  • ou can adapt the following language for your Partnership Deed:
    "TRANSFER OF BUSINESS & ASSETS:
    (A) The First Partner, [Your Full Name], who has been carrying on the business of [Business Name/Type] as a Sole Proprietorship at [Business Address], hereby declares that the said business, including all its assets, liabilities, goodwill, and trade name, is being transferred to this Partnership Firm with effect from [Effective Date].
    (B) The assets transferred (as detailed in Annexure-A) shall be valued at their current book value and the same shall be credited to the Capital Account of the First Partner.
    (C) The Partnership Firm shall henceforth be liable for all the debts and obligations of the erstwhile proprietorship business, and the First Partner is hereby indemnified by the firm against any claims arising therefrom after the transfer date."
