Non Regularisation of Additional Director in AGM

Can anyone share the resolution for non regularization of additional director in AGM or board meeting

Simply pass a board resolution to take note of expiry of additional director on any date after AGM.

You can mention in the board resolution that the additional director has expressed his intention of not being regularised or any other reason if you have.

File dir 12 under the option vacation of director u/s 161.

He automatically ceases to be a director on the date of AGM in case his appointment is not regularised in the said meeting.
