Proposl for appointment of a person a director in AGM subject to receipt of DIN

 Can a Company include a proposal in the Annual General Meeting (AGM) notice to regularize a person as a director, subject to them obtaining a Director Identification Number (DIN) and providing a declaration of not being disqualified to become a director under the Companies Act? 

The AGM notice clearly states this conditional appointment, and the director must furnish their DIN and declaration to the company after the resolution is passed.

Please ignore the earlier message and read the following one:

Hello, 

Query is not clear enough. I am assuming below scenario. 

1.  If he doesn't have DIN, how he is appointment as Director earlier ( as in query to regularize is mentioned) 

2. If He is not Director earlier, in this case company can't appoint him Director without DIN.

Every person who proposed to be appointed as a Director in any Company shall mandatorily have DIN

a person can't be appointed or proposed to be appointed WITHOUT DIN

we need to mention DIN in all documents, consent, resolutions etc.

DIN is available within 24 hours

what could be the reason for this type of arrangement?

There is no question of regularisation if the original appointment is done without DIN.

I think for DIN application we need to furnish supporting documentation about the applicant being proposed to be appointed as Director by a Company?

If so, some resolution would be required, maybe Board Resolution, not at AGM.

Can such a conditional resolution  be passed in Board Meeting?
