COMMISSION MEETINGS
CLOSED MEETING - THURSDAY, JANUARY 7, 1999 - 11:00 A.M.
The subject matter of the closed meeting scheduled for Thursday,
January 7, 1999, at 11:00 a.m., will be: Institution and settlement
of injunctive actions; and Institution and settlement of
administrative proceedings of an enforcement nature.

ENFORCEMENT PROCEEDINGS
COURT ORDERS DISTRIBUTION OF CASH AND EQUIPMENT TO CHARITIES
On December 22, the United States District Court for the District of
Wyoming entered an order distributing one half of the remaining cash
seized from the defendants to the Salvation Army in Cheyenne,
Wyoming and one half to the Salvation Army in New Orleans,
Louisiana. The Order directed that such funds be used by those
organizations for feeding homeless persons. It is believed that the
total cash that will be distributed pursuant to the order totals
approximately $20,193. In an earlier Order of October 27, 1998, the
Court directed that computer equipment seized from the defendants be
donated to the Pasadena, California Unified School District with the
condition that the property be used in schools within the district.
The October 27, 1998, Order also provided that various miscellaneous
property seized from the defendants be given to the Salvation Army
in Pasadena, California. The Court distributed the equipment and
cash as set forth above after finding that because there were
approximately two thousand defrauded investors in this matter, it
was not practical to attempt to make any distribution to individual
investors.
Previously the Court ordered that defendants First Zurich National
USA, LLC (First Zurich), Compunomics 139, Inc. (Compunomics), and
Douglas Paul Catchings (Catchings) jointly and severally disgorge
$4,370,425 plus prejudgment and postjudgment interest to be
determined later. The Order also requires defendant Catchings to pay
a civil penalty of $100,000. To date the Commission has not located
sufficient funds or property to make any distribution to investors.
The Court has also issued a warrant for the arrest of defendant
Catchings based on the Court's finding him to be in contempt of
various Court orders. That arrest warrant remains in effect and
Catchings has not as of this date been located.

RESTRAINING ORDER AND ASSET FREEZE ORDERED TO HALT DIVERSION OF CLIENT
FUNDS
The Commission announced today that it obtained emergency relief
prohibiting misappropriation of advisory and brokerage client funds
by an investment adviser and brokerage firm. According to the
Commission's complaint, Todd J. LaScola of Warwick, Rhode Island,
through CPI Investment Management, Inc., an investment adviser, and
CPA Network Advisors, Inc., a brokerage firm, engaged in a series of
unauthorized transactions in which LaScola diverted $6 million from
brokerage customers and advisory clients in order to pay another
advisory client. The temporary restraining order, issued on
December 29, 1998 by Judge Ernest Torres of the District of Rhode
Island, prohibits LaScola, the sole owner of CPI and a principal and
co-owner of CPA, CPI and CPA from engaging in further fraudulent
conduct. Additionally, the order freezes the assets of LaScola and
CPI, and appoints a temporary receiver for CPI.
The complaint alleges that the defendants violated the antifraud
provisions of the federal securities laws. Specifically, the
complaint alleges that LaScola diverted funds from brokerage
customers in order to repay the International Brotherhood of
Electrical Workers for his illegal purchase in their account of
nearly $6 million of highly speculative and illiquid promissory
notes. According to the complaint, when the IBEW learned about the
investment in the notes in November 1998, it demanded that LaScola
immediately sell the notes. When LaScola was unable to find buyers
for the notes, in order to repay the IBEW, he fraudulently
transferred $6 million of client funds to the IBEW. Finally, the
complaint further alleges that, in order to facilitate the return of
the IBEW money, LaScola converted several of the advisory and
brokerage cash accounts into margin accounts and obtained large
margin loans, without client consent. [SEC v. Todd J. LaScola, et

SELF-REGULATORY ORGANIZATIONS
ACCELERATED APPROVAL OF PROPOSED RULE CHANGES
The Commission granted accelerated approval to a proposed rule
change (SR-Amex-98-40) filed by the American Stock Exchange to
require member firms to participate in computer system testing
designed to prepare for the Year 2000 and to file reports with the
Amex regarding Year 2000 testing. Publication of the notice and
order is expected in the Federal Register during the week of January

The Commission granted accelerated approval to a proposed rule
change (SR-NYSE-98-29) filed by the New York Stock Exchange to
require member firms to participate in computer system testing
designed to prepare for the Year 2000 and to file reports with the
NYSE regarding Year 2000 testing. Publication of the notice and
order is expected in the Federal Register during the week of January

The Commission granted accelerated approval to a proposed rule
change (SR-CBOE-98-40) filed by the Chicago Board Options Exchange
to require member firms to participate in computer system testing
designed to prepare for the Year 2000 and to file reports with the
CBOE regarding Year 2000 testing. Publication of the notice and

The Commission granted accelerated approval to a proposed rule
change (SR-CHX-98-32) filed by the Chicago Stock Exchange to require
member firms to participate in computer system testing designed to
prepare for the Year 2000 and to require member firms to file
reports with the CHX regarding Year 2000 testing. Publication of
the notice and order is expected in the Federal Register during the

The Commission granted accelerated approval to a proposed rule
change submitted by the Pacific Exchange (SR-PCX-98-45) changing the
minimum value size for an opening transaction in any FLEX Equity
Option series which has no open interest. Publication of the of the
proposed rule change is expected in the Federal Register during the

The Commission granted accelerated approval to an amendment to a
proposed rule change (SR-BSE-98-07) submitted by the Boston Stock
Exchange extending the Specialist Performance Evaluation Program
(SPEP) pilot until June 30, 1999, or until the Commission approves
the proposal revising the SPEP and making the program permanent.

change, as amended, filed by the Boston Stock Exchange

IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGE
A proposed rule change filed by the New York Stock Exchange to
continue its monthly transaction fee cap of $400,000 through 1999
(SR-NYSE-98-43) has become effective under Section 19(b)(3)(A) of
the Securities Exchange Act of 1934. Publication of the proposal is
expected in the Federal Register during the week of January 4.

to the filing of certain material by listed companies in the EDGAR

PROPOSED RULE CHANGES
The Philadelphia Stock Exchange filed a proposed rule change (SR-
Phlx-98-46) regarding amendments to its Rule 229, Philadelphia Stock
Exchange Automatic Communication and Execution (PACE) System,
raising the minimum order delivery requirement for specialists from
1099 shares to 2099 shares. Publication of the proposal is expected

APPROVAL OF PROPOSED RULE CHANGES
The Commission approved a proposed rule change submitted by the
Pacific Exchange (SR-PCX-98-16) to require Exchange approval before
members may use any form of telephonic or electronic communications

The Commission approved a New York Stock Exchange proposal (SR-NYSE-
98-28) to amend NYSE Rules 347 and 600 relating to arbitration of
statutory employment discrimination cases. Publication of the

The Commission approved a proposed rule change filed by the Boston
Stock Exchange (SR-BSE-98-14) to amend its arbitration rules
regarding arbitration of employment discrimination claims. The rule
