The official hierarchy of governing documents for our nonprofit
corporation is:

RCW's (Washington state law)

Articles of Incorporation

Bylaws

Other written rules

We formed under RCW 24.06, so this is the basic law we are subject to.
The law requires that certain things be included in the Articles,
which are kept on file with the Secretary of State, corporations
division, and allows for other things to be detailed in the bylaws.

Our bylaws are not filed with the state, and are completely internal,
as are any other subordinate rules we may write later. So while the
articles are somewhat limited to specific format by the state
requirements, we have a lot of leeway with the bylaws - basically,
they mustn't conflict with the articles or with state law.

The bylaws, however, are the document we will turn to for guidance in
the details of how we go about our business, so they need to be well
thought out.

I am beginning the draft bylaws with those things in the Articles that
we refer to the bylaws.
I do have many examples of bylaws for other co-ops if anyone wants to
look them over.

Hi Lori,

I'd be interested in taking a look at the bylaws from other coops. If
there's anyone else who would like to look at them too, I'd be happy
to make copies for us to use, if you can get the originals to me. What
will work best for you?

I'll get some rounded up at the beginning of the week, and see what I
have on paper, and what I have electronically. Been a while since I
looked at them!
