The central issue here, I'm told, is control over patents:
“Our acquisition of Motorola will increase competition by
strengthening Google’s patent portfolio, which will enable us to
better protect Android from anticompetitive threats from Microsoft,
Apple and other companies,” Mr. Page said.
From me: my colleagues tell me control over patents has become a
serious anti-competitive issue, in part because we hand out patents
too easily. So this could be a defensive move.
