Greetings from the Steering Committee! We are asking for your attention to an important matter to our network. As discussed in the last General Assembly, we need to amend our bylaws in order to enable healthy functioning of our network. The original bylaws specify that big decisions requiring a vote have to happen at the General Assembly and have a quorum of at least 20% of members. This made sense when we were a small network, but now we have hundreds of members, many of whom do not attend the GA.This rule makes life hard for the network. The last GA recommended an amendment that reduces quorum and allows for online voting.
The Steering committee, having consulted the outgoing officers and the founding members who put together our bylaws, propose the following amendment (additions in bold):
5.3 An Extraordinary meeting of the Assembly can be called: (i) by a petition of at least one tenth of the members of the Assembly; or (ii) by decision of the Steering Committee. Extraordinary meetings follow the regular schedules of four weeks announcement period and two weeks deadline for suggestions of the topics on the agenda by members. The meeting and the discussion can take place virtually. The voting takes place electronically after the virtual meeting for a period of at least a week. Members voting electronically will count as present.
5.3.1 The ordinary and the extraordinary meeting of the Assembly takes place in person, online, or in a hybrid format when some members participate in person and some attend the meeting online.
5.3.2 Voting takes place in person during ordinary and extraordinary assembly meetings that are attended in person. In case of online or hybrid meetings, voting takes place electronically. The electronic remote voting is organized with the help of online platforms accessible to all members within 7 days after the ordinary or extraordinary assembly meeting. Members have 7 days to cast their votes electronically.
5.8 A quorum for the Ordinary or
Extraordinary meetings of the Assembly will be constituted if at least 20%
(twenty of hundred) of the members are present. 30 members are present
(or voting electronically). If the quorum is not met, the members present at
the Assembly meeting can decide by the majority vote to proceed without the
quorum.
We need your help making progress on this suggestion. We first call an online meeting in which members can discuss this amendment and finalise the wording on the vote. Members have time until April 16th 2025 to propose changes to the agenda. Then we will open an electronic vote on this matter which will be open for one week.
