Anna will be sending out the regular newsletter shortly, but in the meantime, it's necessary to send a notice to all members of our upcoming AGM and Special Resolution to update the bylaws.

Annual General Meeting

Date: Saturday, September 24, 2011

The Annual General Meeting is an opportunity to be involved in the future of EBC.  Come and eat good food, enjoy good company, and dicuss where we've gone in the past year and where we're going in the future.

This year's AGM will include a discussion of our draft 5-year Strategic plan, a Special Resolution to Amend the Bylaws (more below), and elections for the Board of Directors.

Special Resolution to Amend the Bylaws

Last year, the AGM adopted Special Resolutions to Amend the Objects and Bylaws.  However, when we submitted these amendments to Alberta Corporate Registries, they rejected our Bylaws as being deficient.  The didn't include a section describing "Special Meetings."

As a result, we have updated last year's proposal to rename "Petitioned General Meeting" as a "Special Meeting" to meet their requirements.

Of course, whenever the topic of bylaws are opened, there's always some added changes people want made, so we've also proposed a fixed-term provision for Board members: if the bylaws are passed, Board terms will always begin and end on December 1.  The goal is to allow some transition time, after the insanity of summer, to bring the new Board up to speed before the old Board moves on.

Election of the Board of Directors

At every AGM, new Directors are elected to two-year terms, and this year is no different.  The Board is responsible for setting the direction of the Society, supervising the use of resources, and passing policies that move us forward.

This is an important year, as the terms of the President, Vice-President, and Treasurer are all expiring.  If you, or someone you know, would be a good fit for one of these positions, or are interested in taking on another leadership role at EBC, please email your nomination to a...@edmontonbikes.ca
