Winding-Up No. 297 of 2009

Take notice that a meeting of the creditors of
the above Company will be held at Rooms
2009–10, 20/F., Nan Fung Tower, 173 Des
Voeux Road Central, Hong Kong on the 4th
day of December 2009 at 3:00 p.m. pursuant to
section 200(2) of the Companies Ordinance to
ascertain their wishes of the following:
1. By resolution to decide whether to apply to
the court for the appointment of a person
to be the liquidator in place of the joint
and several provisional liquidator; and
2. By resolution to determine whether an
application is to be made to the court for
the appointment of contributories and
creditors to a committee of inspection.
3. By resolution to determine whether the
proposed liquidator should be entitled to
remuneration on a time-costs basis or such
other basis as should be determined by the
court under Section 196(2) of the Companies
Ordinance and such remuneration should
be paid out of the assets of the Company.
To entitle you to vote thereat your proof must
be lodged with me not later than 4 o’clock in
the afternoon on the 3rd day of December 2009.
Forms of general and special proxies are
enclosed herewith. Proxies to be used at the
meeting must be lodged not later than 4 o’clock
in the afternoon on the 3rd day of December
2009.

NOTICE is hereby given that a Petition for the
winding up of the above-named company (the
1st Respondent) or alternatively for an Order:—
1. That subject to paragraph 5 below, the
Respondents be restrained from paying or
causing the 1st Respondent or the Sichuan
CJV (as defined in the Petition) to pay to
the 3rd or the 4th Respondent or any other
director of the 2nd Respondent directors’
emoluments or other remunerations in
respect of services rendered or to be
rendered by them to the 1st Respondent or
the Sichuan CJV;
2. That the 2nd to the 7th Respondents do
pay to the 1st and the 2nd Petitioners such
damages or compensation together with
interest thereon out of any directors’
emoluments or other remunerations
wrongfully converted by them from the
dividends paid or distributable by the
Sichuan CJV to the 1st Respondent,
including but not limited to the sums of
USD1,290,300.00 and USD2,581,000.00
paid or to be paid to the 3rd and 4th
Respondents for the financial years ended
31 December 2008 and 31 December 2009,
as may be determined by the Court;
3. Alternatively, that the 2nd to the 7th
Respondents do repay to the 1st
Respondent any dividends paid or
distributable by the Sichuan CJV together
with interest thereon to the 1st Respondent
for the years ended 31 December 2008 and
the year ended 31 December 2009;
4. Further or alternatively, that leave be
granted to the 1st and 2nd Petitioners to
commence derivative action or actions
against the 2nd to the 7th Respondents for
and on behalf of the 1st Respondent to
recover any sums wrongfully converted by
the 2nd to the 7th Respondents;
5. That the provisions of the Articles of
Association of the 1st Respondent in
relation to directors’ emoluments be
amended by deleting Regulations 52 and 53
in their entirety and substituting in their
place the following:
“52. The Company in general meeting
may, by special resolution, fix the
emoluments of directors in respect of
services rendered or to be rendered in any
capacity to the Company. The directors
may also be paid such travelling, hotel and
other expenses properly incurred by them in
attending and returning from meetings of
the directors, or any committee of the
directors or meeting of the members, or in
connection with the business of the
Company as shall be approved by a
unanimous resolution of the directors.
53. Any director who, by request, goes or
resides abroad for any purposes of the
Company or who performs services which
in the opinion of the Board go beyond the
ordinary duties of a director, may be paid
such extra remuneration (whether by way
of salary, commission, participation in
profits or otherwise) as shall be approved
by special resolution of the Company in

6. That the Articles of Association of the 1st
Respondent in relation to directors’ written
resolution be amended by substituting the
word “all” for the words “a majority of”
under Regulation 76;
7. That the Respondents do procure that the
authorized bank signatories for all bank
accounts held in the name of the 1st
Respondent be amended forthwith so that
the operation of the bank accounts shall
require the approval of a director of the 1st
Respondent nominated by the 1st Petitioner
in accordance with Regulation 46 of the
Articles of Association of the 1st
Respondent;
8. That the Respondents be restrained from
carrying into effect or acting on the Written
Notice of the 1st Respondent dated 25
March 2009 addressed to the Sichuan CJV,
whether within or outside the jurisdiction,
to the effect that Mr. Lee Man Chun Tony
(“Mr. Lee”) of the 1st Petitioner and Mr.
Chow Kwok Choi Patrick (“Mr. Chow”) of
the 2nd Petitioner were removed from the
board of directors of the Sichuan CJV and
replaced by the 5th and 6th Respondents;
9. That the Respondents be restrained from
making any oral or written representation
to the Sichuan CJV or any of its
shareholders or any government authorities
of the People’s Republic of China, whether
within or outside the jurisdiction, to the
effect that the Written Notice was valid,
lawful or binding on the 1st Respondent or
that Mr. Lee and Mr. Chow have ceased to
act as directors of the Sichuan CJV;
10. That the Respondents do take such steps as
may be necessary forthwith to cause or
procure Mr. Lee and Mr. Chow to be
re-appointed to, and the 5th and 6th
Respondents to be removed from, the board
of directors of the Sichuan CJV, including
by providing written notice of such
re-appointments and removals to the
Sichuan CJV pursuant to Clauses 9.2 and
9.4 of the Amended JV Agreement (as
defined in the Petition) and Articles 17 and
19 of the Sichuan CJV’s Articles
respectively referred to in paragraphs 23.1
and 23.3 of the Petition therein;
11. That the Respondents do take such steps as
may be necessary forthwith to cause or
procure the 1st Respondent and/or the
Sichuan CJV to notify all relevant
government authorities of the People’s
Republic of China, including but not
limited to the State Administration for
Industry and Commerce in relation to the
re-appointment and removal referred to in
paragraph 10 above;
12. That the 3rd to 7th Respondents do
disclose to the Petitioners forthwith minutes
of all board or shareholders’ meetings of
the Sichuan CJV held and all board or
shareholders’ resolutions of the Sichuan
CJV passed since August 2008 (including
but not limited to the minutes of the board
meeting of 20 August 2009);
13. That the 4th Respondent be restrained from
acting or holding himself out as the
General Manager of the Sichuan CJV
appointed by the 1st Respondent and be
replaced by such independent appointee or
employee as the Petitioners and the 2nd
Respondent Bantam may mutually agree;
14. That the 2nd to the 7th Respondents do
convene regular meetings of the Working
Committee of the 1st Respondent consisting
of representatives from the 1st Respondent’s
shareholders, on a monthly basis or at such
other intervals as the members of the
Working Committee may decide from time
to time, to consider and advise the board
of the 1st Respondent on matters relating
to the management and affairs of the 1st
Respondent and the Sichuan CJV;
15. That until paragraph 14 is carried into
effect, the 2nd to the 7th Respondents do
prepare and provide, or caused to be
prepared and provided, monthly
Management Reports in respect of the
Sichuan CJV to the Petitioners;
16. That the 2nd to the 7th Respondents do
disclose to the Petitioners forthwith all
audited financial statements, profits and
loss accounts, management accounts, bank
statements and other books and records of
the 1st Respondent, in so far as the same
have not been disclosed or made available
to the Petitioners in the course of these
proceedings;
17. That the Court may make such other
directions and orders in relation to the
management of the 1st Respondent as are
necessary in order to bring an end to the
unfairly prejudicial conduct of the 2nd to
the 7th Respondents;
or for such other order as shall be just was
presented to the High Court of Hong Kong on
