Registers under the Companies Act, 2013.

Greetings!

 

Please find attached file with registers to be maintained under the Companies Act, 2013 prepared in MS Excel format to facilitate filling details and print option is set to A3 sheet (unable to accommodate in A4 sheet due to number of columns). Please click on 'Form Name' in column ‘C’ to view the respective form.

 

Let me know if any register to be added.

Since you would have studied the provisions relating to all the registers, I have a query for you.

Should the companies discard the existing registers and compile the whole data in new Format? 

Rules under Chapter VII specify that:

(1) Every company limited by shares shall, from the date of its registration, maintain a register of its members in Form No. MGT.1:

Provided that in the case of existing companies, registered under the Companies Act, 1956, particulars shall be compiled within six months from the date of commencement of these rules.

Is it applicable to all the registers or only register of members?

​Regarding interesting observation of CS. Vivek, have seen specific requirement of compilation by existing companies only w.r.t., Register of Members and I am of the view that this provision (of compilation) is applicable only to Register of Members and no need to ​compile the whole data in new format w.r.t, other registers unless specified by MCA. 

Though contents of Register of Members is compiled in new format since incorporation of the company, it seems appropriate retain old Register of Members (even entire Statutory Register) for authenticity in case of disputes/ambiguity, if any, in future. Also, it may be noted that the Companies (Preservation and Disposal of Records) Rules, 1966 has provided for retention of Register & Index of Members permanently and Register & Index of Debentures for a period of 15 years from the date of redemption. 

Solicit other members view on compilation w.r.t., other registers and retention of old Stat Register. 

For Info...The Companies Act, 2013 in Rules provides for retaining Register & Index of Members permanently and Register & Index of Debentures/other securities for a period of 8 years from the date of redemption. SH-2, CHG-7, MBP-2, MBP-3 & MBP-4, Minutes of General Meeting, Board meeting and Committee meeting are also required to be preserved permanently. Instrument creating charges to be preserved for a period of 8 years from the date of satisfaction of charges.
