Precertification by Practicing CA on AOC-4 on Companies in which he is shareholder

Que 1. Can a practicing Charterd Accountant Certify form aoc 4 as professional capacity of a Company in which he [practicing ca] is shareholder but nither director.

Que 2. Can a practicing Charterd Accountant Certify form aoc 4 as professional capacity of a Company in which his [practicing ca] relative like wife or daughter are director or shareholder.

Actually A practicing CA is partner in Firm and beside that running Group of Companies in which some companies daughter is director and in some wife is director and shareholder.

Firstly he cannot be appointed as auditor of the companies under section 141 (3) (d) where he or his relative or partner is holding any security of or interest in the company, (f) a person whose relative is a director or is in the employment of the company as a director or kmp.

Secondly, AOC 4 form certification can be done as the Act is silent on it. But PCA has to check the code of conduct issued by ICAI before doing so.

Dear Sir,

I have a slight query on this. What do the professional precertifying the FORM has to do with Intrest concept in the company with that of Precertification of FORMS??

Kindly advice as I dont think this has to do anything with precertification of FORMs.

Yes..He is not auditor on those companies in which his daughter or wife is director or he holds share in that company.

But In past year he used to make pre certification in form ac-aca as practicing ca of above company.
