Dear all,

We have filed MGT-14 beyond 300 days for Adoption of Accounts (Section 134) and for Disclosure of Interest u/s 184(1). Does condonation of delay as per Section 460 applies over it? And if yes then can we file single application for both matter or seperate petition is required to be filed. Kindly resolve. Its Urgent.

One MGT-14 as it is a small company having paid up of Rs. 1 Lakh

how u were able to file MGT-14.. i believe u must have done within 300 days.. otherwise it won't allow u to file and asks for SRN of a form]

Obviously MGT-14 cannot be filed thats why we have to seek condonation. But there are 2 matter: Adoption of Annual Accounts and Disclosure of Interest by Director which were passed on same day in August. So do we need to file separate petition or single petition will do.

You can file it by mean of single petition. This condonation is for not filing of MGT-14 with ROC in terms of Sec 117. It is not a case for breach of provision of Sec 134 & Sec 184. These two section not telling about filling of MGT-14.
So you can file single petition. Hope so you got my point.

1) Can anyone please share the draft of documents to be prepared for condonation of delay for filing MGT14 beyond 300 days?
2) Can a single petition/application for condonation of delay be done for 2 resolutions passed at the same meeting both of which are required to be filed with ROC in Form MGT14?
3) What is the approximate fees/penalty levied on the company in case of condonation of delay?

I can share my personal experience, may be this is helpful to you.

Please see my response against your queries:-
1) Can anyone please share the draft of documents to be prepared for condonation of delay for filing MGT14 beyond 300 days? 

You need to prepare a simple application (containing facts, reasons for delay and request) for condonation of delay to be filed alongwith resolution under CG-1


2) Can a single petition/application for condonation of delay be done for 2 resolutions passed at the same meeting both of which are required to be filed with ROC in Form MGT14?
In our case we have filed an application for single resolution but, I think you can file an application both resolutions of same meeting for condonation of delay.

3) What is the approximate fees/penalty levied on the company in case of condonation of delay?
You have to pay fee for filing form CG-1 - pls refer instruction kit of CG-1 for the details depending upon your capital base. penalties - no idea no practical case comes to my knowledge.

Normally mgt 14 will not get check form without entering srn of Inc 28. Then what is the present status of the form.
