Supplementary LLP agreement

Dear Members,

I want to substitute one of the point in Original LLP agreement.

In the LLP agreement it is written "The Partners shall ensure that all decisions taken by them in meetings are   recorded in the minutes within seven (7) days of taking such decisions and are kept and maintained at the Registered Office of the LLP."

and wanted to substitute following literature "Partners may maintain minutes of any decisions taken by them in the meeting."

Kindly suggest, is that substituted literature is fine or should I change it?

Kindly provide format of Supplementary LLP agreement for above mentioned purpose.

Dear Shweta,

You can also frame statement like this:

" The decisions taken at each meeting of the LLP shall be fairly and accurately recorded in the minutes and such minutes shall be maintained at its registered office. The minutes of a meeting shall be signed by the Chairman of that meeting or by the Chairman of the immediate next meeting."

She doesnt want to maintain minutes and thats why she used the word may.

But still if Meeting held and convened in LLP than they have to maintain records for the same in Minutes form.

No sir it is not mandatory to maintain minutes of meeting held by LLP Partners.

In First Schedule of LLP Act Point number 9.

" Every limited liability partnership shall ensure that decisions taken by it are recorded in the minutes within thirty days of taking such decisions and are kept and maintained at the registered office of the limited liability partnership."

Before going to point no 9 of section 23, kindly read this

Provisions regarding matters relating to mutual rights and duties of partners and limited liability partnership and its partners applicable in the absence of any agreement on such matters

I Agreed with that and even i am not saying that its mandatory.

But for better compliance they should maintain such clause and also records of the same.
