Can private company issue OPTIONALLY CONVERTIBLE PREFERENCE SHARES??

If yes, under which provisions and no then under what provision?

YES, as per section 55 of the companies act, 2013 read with rules companies (share capital and debenture) rules, 2014. as its provides that a company may issue every type of preference shares excluding irredeemable preference shares by complying with the provisions of this section and rules made there under.
