Removal of Auditor

Dear All,

Can any one provide me the checklist and documents for Removal of Auditor.
What are the valid grounds for Removal of Auditor.

Is it removal or resignation...?  if its resignation then you can straight way take a resignation letter from the auditor and in general meeting to appoint the new Auditor.
 
Pls confirm as its opinion as per my knowledge.

Since the auditor has been appointed by the shareholders in the AGM, only they can pass a resolution. The directors can recommend for their removal and at the same time, recommend a new auditor so that the resolutions are passed simultaneously

Having said that the existing auditor will have the right to represent his case by addressing the share holders in the AGM. Needless to say, the new auditor also requires NOC from the existing auditor

Needs to comply with section 224(7) of the companies act, 1956

Doesn't it require  the previous approval of the Central Government, both in the case of Private and Public limited Companies.

If the Director is to be removed before the expiry of his term, then the previous approval of Central Government is required. Otherwise compliance of section 225 is sufficient.

I m sorry I meant if the auditor is to be removed before the expiry of his term, then previous approval of Central Govt is required as per section 224(7). Otherwise compliance of section 225 is sufficient.
