Dormant Company to Active Company

Dear Professional Colleagues

I need to change the status of a company from Dormant to Active. Please suggest me the procedure for the same. I have read somewhere that MR 3 & 4 needs to be filed but when I am entering the CIN the forms are not accepting stating that the "CIN entered is of Dormant Company". 

Please help.

Procedure for activation (Normalizing of a Dormant Company):

Step 1:

Companies which are desirous of getting back to Active status by filing the due annual returns and balance sheets (normalizing the company) are required to file GNL-1 with the Ministry of Corporate Affairs.

Step 2:

On approval of the application in GNL-1, the company shall be provided 21 days to file all the annual return and balance sheets for the required financial years. In the event of all the required filings done within the specified time limit of 21 days, the status of the company shall be changed to Active. On failure of such formality, the status of the company would change back to Dormant.

The annual returns would include e-Forms such Form 23B (Intimation by Auditor to Registrar), Form 23AC (Filing of Balance Sheet), Form 23ACA (Filing of Profit & Loss account), Form 20B (Filing of Annual Return for companies with Share Capital), Form 66 (Compliance certificate, if applicable) for all the years of non-compliance.

Once, the dormant company is done with the above mentioned formalities, normalization of the company have been through and the company can now continue its business operations with significant dealings and transactions.

I understood the procedure but currently the old forms are unavailable for uploading on the mca website so how do we proceed??

file the GNL-1 form after the annual filings forms are available on website.. coz within 21 day's u have to file all pending annual filing forms.

Ok thanx sudhir ji...I have another query one company is showing dormant but the filing is accurate from 2008 onwards and 2006-07 is not done...now  I dont know from previous how many years the filing is not done as in view public its shown from 2006 only.The company is incorporated in 1991. How to solve this issue sir?

Hi,

Earlier in GNL-1, there was a Option "Normalising a Dormant Co", but in current GNL-1 Form there is no such option available.

The Dormant Company can revert to an Active Status Company by making another application under section 455(5) of the Companies Act, 2013 in Form MSC-4 along with the requisite Fee. This application should be accompanied by latest Annual Return in Form MSC-3.

 

Reference to GNL-1 seems to be out of context, if the Query is with reference to section 455(1) of the Companies Act, 2013.

I have uploaded  GLN 1 for active status of the company . but it was sent for resubmission stating that GLN 1 is not the appropriate form and directed to upload the correct form.
