Quorum for General Meetings and interested members voting

Dear Professionals,

Quorum for General meetings of Public Limited Co. with minimum no. of shareholders is 5.

Now, my query is that for a general meeting of that co. only 5 members have attended and constituted a valid quorum. However, there is an agenda item in which one of the member is interested (he is a Director and also a member of that Co.). Now, whether that person's voting is counted for that item and does that agenda constitutes a valid quorum.

Dear Pradad,

You have to check two items

1. One is whether sufficient quorum is  there or not to hold GM- 5 members attended in the meeting.. So it is cleared.

2. Whether sufficient percentage of shareholders voted or not as per the requirement of act..that you have to check how many percentage of shares were held by all 4 members.. If it is complied, then no problem.
