CA ACT 2013 says that BM minutes can be signed by chairman of the said meeting or chairman of the succeding BM.and on the other side Rules says about circulation of signed minutes to the directors.
suppose the BM held on 10.04.2016 , it should be entered within 30 days of the BM and can be signed by chairman of the said BM or chairman of the next BM.
The rules said about circulation of the signed minutes to the Directors of the Company.
If next meeting held on 01.06.2016 and there is practice in the company to get minutes of previous BM minutes get signed at the subsequent BM , it means company can not circulate the minutes of previous BM till the date of the next BM at which the minutes get signed by the chairman of that meeting.
If you refer guidance notes on BM issed by ICSI, in draft minutes you will find 1 item as the minutes of the BM dated ----- duly circlated wre taken note of.
According to me the rules of the CA ACT 2013 nulify the prvisions of signing of the BM minutes by the chairman of the next BM.
Am I getting correct or not. Kindly share your views.
