Bonus Issue for limited number of Equity Shareholders

Dear Learned Members,

Kindly let me know if a company can issue bonus shares to a category of the shareholders under the Companies Act, 2013. Will any provision in the act shall restrict the issue to a category of the equity shareholders in the company rather than issuing the bonus shares to every shareholders in the company?

If yes, then kindly let me know what process should one follow to propose such issue. 

In this regard, let me point out that the same kind of offer was made by Reliance Power Limited back in 2008.

Then what was the relevance of the action taken by Reliance Power Limited when they made bonus issue to the non-promoter shareholders only. Moreover it was and is a Listed Company.

Dear Sir, 

Please refer SEBI circular on selective bonus provision. In order to meet the MPS, bonus issues can be made to the public shareholders whereby promoter group will waive off the rights towards offer made under bonus issue.

I am also working on same issue. Company cannot issue bonus shares to only promoter group.

To achieve minimum shareholding is a different perspective. You cannot take it as general.
