Hi All,

GOOD MORNING :) :)

As a background stamp duty needs to be paid in case of merger depending on the state in which the registered office of the company is situated.  Further, even if there is no specific entry for merger in any state, on all immovable properties stamp duty must be paid.

However, there is an exemption for the whole of the stamp duty in case of merger of a wholly owned subsidiary into its parent company as per Notification No 1 of 16th January 1937.  The same has been given in Ramaiah book also.  But, i'm not able to find the text this notification.

So, if any one has come accross this notication please share the notification or if any one has done any such merger, let me know what route you had followed in that.

Thanks in advance
