 Dear All

 Pls tell what are the attachments for form dir 12 in case of incorporation of a private company

whether letter of appointment and declaration by first director is also required ?

i believe form dir-2 and interest in other entities are the 2 attachments to this form 

pls tell what all are the attachments ?

a) DIR 2 
b) Intrest in other entities, 
c) Declaration by the first director and

thanks bro for your reply but whether declaration from first director in form INC - 9 which is an affidavit is to be attached with this form ?
as the same is required to be attached with form INC-7 also? and Affidavit for non acceptance of deposits is to be atached with form dir-12 or form INC-7 ? as earlier it is being attached with form 1 under CA, 1956 ?

In my case I have attached INC 9 only since both are one and the same. So you can as well. Yes earlier we submit NAD with Form 1 and still the same would be attached with INC 7 but I have attached the same with DIR 12. This is your wish if you want....

As per the Forms and their instruction kit,  INC-9 is to be attached in both INC-7 & DIR-12. So, it is better to attach INC-9 in both the forms.

Thanks Mansi and BalaJi for your reply..  can u pls tell further form DIR-2 (Consent to act as director) and form INC-8 Declaration by professional needs to be taken on a simple paper and no notary requirements for them. only signed copies of these two will suffice ?

and in form INC-22 what is to be attached in my case i am taking

 NOC from one of the Group Company for using its regd off address as the address of the proposed co and
 copy of electricity bill in the name of that entity
and List of all the other group companies (specifying their CIN) having the same registered office address.

whether same will suffice ?

DIR-2 (Consent to act as director) and form INC-8 Declaration by professional  needs to be taken on normal plain paper.

Just one small correction -- DIR 8 -- Declaration by Professionals also needs to be executed on 100/- Rs. Stamp Paper and Notarized Copy. (Received Query from ROC, Mumbai  today itself)​
 
Also ,ROC raised concern for "Only Interest of Directors in Other entities are not given" -- But where Directors have no interest in Other entities, what should be given???? Pls help.

Just Initimated by ROC Delhi further...Sir in delhi the Inc 8 are being provided on Letter heads of the Professionals itself..and the company has been incorporated as well.I request you to kindly advice the supportive legislation in this regard, if any????

thanks Mr.Vicky for the info... but if directors have no interest in other entities you must have entered 0 in the eform itself.. if this was the case then why this remark ? sure BalaJi.. tk cre..

Simranjeet first check for the supportive Legislation for providing the Certificate by Professional on Stamp Paper or in Affidavit format. In delhi they are not asking on stamp paper for INC 8..

Yaar don't rely on mca helpline.. kuch bi kehte hai.. mujhe kehte ki consent and declaration to be taken on affidavit and to be notarised.. kuch bi bolo ha me ha milate hai..

Bhai not MCA Helpline yaara...my trainee is at roc now...i got this confirmation from her..so m telling you she asked from a senior officer....rest your wish...
fir b u better check for legislative support if it is to be given on Stamp Paper...mai to bina uske karwa rha hu :)

Hi Colleagues,

So far as INC-8 is concerned even ROC has different opinions, I have applied for incorporation of 2 companies wit Mumbai ROC.
One of them Incorporated and another got rejected saying INC-8 required to be on Rs.100 stamp paper and duly notarized.

So you can understand that in same ROC-Mumbai, one person approves and another rejects application filled on same day.

I think we professionals should represent MCA to clarify the matter, in our professional interest.

Without filing the No. of Entities in which Directors are interested we cannot go ahead with Filing of Form DIR-12.
 
But this clueless.....

In my case, ROC has asked with following remark " Declaration by Professional is given but it is not on 100Rs. Stamp paper with Notarized."
 
That's why I a saying it to execute.
