Memorandum for Sec 8 company has to be prepared as per the format prescribed in the Incorporation rules in Form INC-13.

AOA will depend whether it’s with or without capital. With capital, is nearly the same as a normal pvt ltd co. except you will have to add a clause in the definition of pvt ltd co. If without capital, then you will have to prepare as it applies for guarantee company.
