Date on share certificates

Dear Members,

We have to issue share certificates for a newly incorporated company,
kindly let me know what date we have to mention on the share
certificate.
The Problem is without mentioning the date, Registrar will not affix
his stamp, my doubt is whether we need to mention the incorporation
date or first board meeting date or date on which we are getting it
stamped.

We have to mention the date on which the Share Certificates are issued. U can mention Incorporation date if first Board Meeting has been held on that date. If not, then the date on which first Board Meeting was held.

Thanks for your reply, my doubt is suppose if we have not issued the same on first board meeting date and as per my knowledge it can be issued within three months from the date of Incorporation/allotment, so in that case which date to mention, i.e., can we mention stamp duty paid date?

Dear Madhu,

We have to mention the date of Incorporation as the date of issue of Share Certificate because the first shareholder are the shareholders of the company by virtue of subscriber the MOA.

Dear Madhu,

Certificates are to be issued on first Board Meeting to the subscribers to the Memorandum. For further allotments Section 113 is to be applied i.e., three months from date of allotment. This is my personal view. Wait for others' suggestions.

Usually we show first Board Meeting on Date of Incorporation. So it will be suggested to issue on date of incorporation.

Share are allotted in the first board meeting. If the meeting is held on the DOI, then DOI otherwise date of first board meeting. The concept of three months is that the share certificates should be allotted within a max period of three months and not beyond that.

As per the Act the First Subscriber to the MOA are Members of the Company and thei name autiomatically entered in ROM.
 
But the Allotment is an act of Board so all practical purposes the Share Certificate should contain the date on which the shares allotted as the three months period as mnetioned in 113 starts from the date of allottment .
 
If the DOI and First BOD is same then u can mention that date.
