Dear All,

If a company had already made investment or given loan under section 186, is there any compliance that we have to follow?

The CA 2013 does not indicate that the provisions of Section 186 are retrospective. Rule 13 (1) of the Rules, however, provides that a special resolution would have to be passed within 1 (one) year from the date of notification of these provisions.

is the investment / loan referred to in your query made / given before 1st april, 2014

in which case, you need to pass a special resolution within 1 year from the date of coming into effect of the said provision i.e., 1 year from 1st april, 2014; pls. refer to explanation to rule 13 of chapter xii rules.

you have to pass a Special Resolution before 11th September 2014 in General Meeting/EGM.

In my company .. loan has already been given to three employee without board resolution/special resolution. .

How to rectify it?

If loan given after 01.04.2014 then you have to pass the resolution predated as file MGT-14.

Dear Friends,

 

For compliance of Section 186 sub section (2) of CA 2013.

 

No company shall directly or indirectly --

 

(a) give any loan to any person or other body corporate;

(b) give any guarantee or provide security in connection with a loan to any other body corporate or person; and

(c) acquire by way of subscription, purchase or otherwise, the securities of any other body corporate, exceeding sixty per cent. of its paid-up share capital, free reserves and securities premium account or one hundred per cent. of its free reserves and securities premium account, whichever is more.

 

Whether loan given to employees also covered under this section.

 

If yes then whether we need to charge the interest as per prevailing yield of one year, three year, five year or ten year Government Security closest to the tenor of the loan.
