Immediate Relative under SEBI (Prohibition of Insider Trading) regulations, 2015

Dear learned Members

Who are Immediate Relative as per SEBI (Prohibition of Insider Trading) regulations, 2015. Though Immediate Relative is defined in the act but unable to understand the same.

Form A of SEBI (Prohibition of Insider Trading) regulations, 2015 of Immediate Relative is to be acquired separately ?

Again there are biased view whether company is required to submit Form A with Stock Exchange or its internal compliance?

No need to submit form a with BSE. It has to be submit to BSE Company Only.

Only code has to submit to BSE.

Dear Vijay,

Section 2 (1) defines :

(f) “immediate relative” means a spouse of a person, and includes parent, sibling, and child of such person or of the spouse, any of whom is either dependent financially on such person, or consults such person in taking decisions relating to trading in securities.

Form A of SEBI (Prohibition of Insider Trading) regulations, 2015 of Immediate Relative is to be acquired separately ?

Every promoter, key managerial personnel and director of every company along with such person’s immediate relatives can make disclosure in Form A.

Again there are biased view whether company is required to submit Form A with Stock Exchange or its internal compliance?

7. (1) Initial Disclosures.
(a). Every promoter, key managerial personnel and director of every company whose securities are listed on any recognised stock exchange shall disclose his holding of securities of the company as on the date of these regulations taking effect, to the company within thirty days of these regulations taking effect;

Hence it is only internal compliance.

Hi

which code have you mentioned here. What is your meaning by BSE company only, is it mean BSE as Company or company listed with BSE.

And is we are required to take disclouse in Form A in Board meeting or Simpally receiving of Form A is enough. is the compliance with BSE is Promptly from the date we receive the form A or is it within 30 days or any other time period after the receiving

Please provide me your suggestion on above mentioned points.
