Private Placement offer letter Date

What will be the date of circulation of Pvt. Placement offer letter. Is their any need to take approval of Board and if yes when BM need to be conducted i.e after EGM or before EGM.

PLEASE READ RULE -14 OF THE COMPANIES (PROSPECTUS AND ALLOTMENT OF SECURITIES)RULES,2014 

IT IS CLEARLY WRITTEN IN RULE 14(3) THE DATE OF PRIVATE PLACEMENT OFFER LETTER SHALL BE DEEMED TO BE THE DATE OF CIRCULATION OF PVT. PLACEMENT OFFER LETTER.

FIRST B.M. AND THEN E.G.M. IN WHICH SPECIAL RESOLUTION BE PASSED .

It is not necessary that you have to circulate the private placement offer letter after the first board meeting for convening EGM. It could be possible that another BM convened for approval of Letter of Offer. . In Letter of offer you have to mentioned date of EGM in which SR is paased. How will you mentioned that date of passing of SR in the Letter of offer if till yet meeting has not been held.

see in board meeting we have to give approval for notice of egm in which shareholders resolution have been passed for authorizing the offering of securities. 

Refer form - pas 4, pt.2(b).

In short, it is mandatory to approve offer letter in E.G.M.
