Do we need to mention Explanatory Statement U/s 102 for Private limited company in general meeting Notice.

But as per Private Limited Company Exemption dated 05-06-2015 says Section 101 to 107 not applicable to Pvt Ltd Company

Sec 102 does not apply if the same is mentioned in the articles

the secretarial standards clearly says that "the standard is in conformity with the provisions of the Act. However, if, due to subsequent changes in the act, a particular standard or any part thereof becomes inconsistent with the Act, the provisions of the Act shall prevail. 

but the exemptions granted to private company does not exclude it as the wording is clear "shall apply unless otherwise specified in respective sections or the articles of the company provide otherwise". 

since section 102 does not say that this section shall not apply to private company it will apply
