Use of DIN - Companies Act, 2013

Dear Professionals,

Ā 

Obligation to indicate Director Identification Number (DIN)

Ā 

As per Section 158: ā€œ Every Person or Company, while furnishing any return, information or particulars as are required to be furnish under this act, shall mention the Director Identification Number (DIN) in such return, information or particulars in case such return, information or particulars relates to the Director or contain any reference of any Directorā€

Ā 

This proviso made applicable to all the Companies since 01/04/2014.

Ā 

ItĀ  means that we have toĀ  Start practice to put DIN of the director who is signing any documents / resolutions of the Company in the capacity of Director which are required to furnish as per the provision of the Companies Act, 2013 (excluding the documents which are required to furnish under any previous company law or other Law viz. IT, Custom, Excise etc.)

Ā  Kindly give us guidance where to use DIN.

Section 266F of the Companies Act, 1956 also says:-
Every person or company, while furnishing any return, information or particulars as are required to be furnished under this Act, shall quote the Director Identification Number in such return, information or particulars in case such return, information or particulars relate to the director or contain any reference of the director.Ā 
Please include the documents which are required to furnish under any previous company law i.e. the Companies Act, 1956.

I have conveyed in my organisation today itself....however I would be much intrested in knowing the penal consequence of non complying wd it.

if any 'certified copy' / 'notice and explanatory statement' that is being submitted to roc has reference to a director
then it would be required to disclose DIN.

So any document or resolutions which the director is signing is not the reference here.Ā 

It may be for eg. Annual Return where the company is giving details relating to Director or list of Directors the company is giving or any declaration the director himself is personally giving relating to himself etc.. may fall under the purview.

Please correct me if I'm wrong with your views/additions.

Kindly guide whether Mention DIN as Per Sec- 158 is applicable on Minutes also?

Further what Kind of documents falls under Return Category, Information or Other Particulars
